the sole member of LAZ Parking Southwest, LLC a limited
liability company organized and existing under the laws of the
State of Arizona (the "Company") hereby represents that:

A meeting of the Members of the Company was held on April
20, 2023.

At said meeting after motion duly made and seconded, the
following Resolutions were unanimously adopted:

RESOLVED, that the Company is hereby authorized to
sign any and all documents, contracts and agreements with
regard to stale-dated warranticheck.
