Statement of Work This Statement of Work (the “SOW”) dated January 23, 2023, is entered into pursuant to the Master Professional Services Agreement between Maricopa County Library District (“Client”) and Innovative Interfaces Incorporated (“Innovative”) effective as of October 25, 2018 (the “Agreement”). Innovative and Client may each be referred to as “Party” from time to time or collectively as “Parties”. A. Purpose of this Statement of Work The SOW provides an overview of the scope of the project and fees to complete the engagement based on Innovative’s prior experience with similar projects and preliminary discussions with Client. The Client hereby acknowledges that the SOW is not meant to capture all detailed requirements but documents the high-level requirements and approach discussed and that additional detailed requirements discussions will be required to outline the full scope of work between the Parties. B. Project Scope of Services The Scope of the project includes the following set of professional services: 1. New INN-Reach Network Implementation Innovative will create a new INN-Reach network to facilitate resource sharing of returnable materials by member libraries. The INN-Reach network will be configured under the INN- Reach as a Service model. Work includes: o Project Management o Requirements consultation between Client and Innovative o INN-Reach central server set up and configuration in the cloud hosted environment o Pre and post-implementation testing o Remediation of post-implementation issues, found during Innovative’s testing or by the Client 2. New Encore Discovery Catalog Implementation for INN-Reach Innovative will implement Encore as the primary user search and request interface for the INN-Reach Union Catalog. Work includes: o Project management o Requirements consultation between Client and Innovative o Encore server set up and configuration in the cloud hosted environment o Pre and post-implementation testing o Remediation of post-implementation issues, found during Innovative’s testing or by the Client 3. INN-Reach Implementations to Add Member Libraries from Polaris Local Servers (14) Innovative will add the following Polaris libraries to the new INN-Reach system via the Polaris Direct to INN-Reach API. The libraries will be added in phases, with groups of Page 1 of 4 libraries going live in multiple stages. The libraries to be included in each phase will be determined during discussions with the Client during initial project planning. o Avondale o Buckeye o Chandler o Desert Foothills o Glendale o Maricopa County o Mesa o Peoria o City of Surprise o Scottsdale o Tempe o Tolleson o Wickenburg o Youngtown Work includes: o Project management o Requirements consultation between Client and Innovative o Implementation of changes to production environment o Pre and post-implementation testing o Provision of training on Polaris INN-Reach functionality via webinar o Remediation of post-implementation issues, found during Innovative’s testing or by the Client 4. INN-Reach as a Service After implementation, Innovative will provide ongoing management of the INN-Reach network under the INN-Reach as a Service model, Silver level (System Administrator and Consortium Coordinator). C. Innovative Services Team The Services Team will have the following resources available for this project: 1. Project Manager: The Project Manager will provide project oversight and drive the overall project to closure. 2. INN-Reach Data/Configuration Specialist: An experienced INN-Reach expert who will handle the data and configuration tasks required to ensure successful completion of the project. D. Client Team 1. Librarian Lead – Works closely with Innovative resources to ensure requirements are representative of the needs of the library. The Librarian Lead will coordinate with key members of the team as required. 2. Technical Lead - Will be responsible for assisting with Client responsibilities related to INN- Reach or any other system level duties required by Client. E. Implementation Assumptions Page 2 of 4 1. Client will have adequate resources available to ensure timely completion of any library tasks outlined in the project schedule. 2. Timeline for the completion of this project will be established, through joint planning conversations between the client and Innovative. 3. Client will provide a technical point of contact who is able to provide, or coordinate access to, necessary information and library resources. This includes information related to collecting and providing any prerequisite information required to support needs that may arise during the project. F. Fees and Payment Terms Fees for Services delivered under this SOW will be charged on a fixed price basis as set forth in the Innovative Pricing Exhibit EST-INC15418 attached herewith and are made in good faith based on the activities, approach, and assumptions contained within the SOW. Payment terms for this SOW are as set forth in the Professional Services Agreement. Any additional Change Requests will be performed at a blended rate of $200 per hour for all resources. Additionally, Client is responsible for all reasonable out-of-pocket costs and expenses incurred during this SOW. Pricing assumes that deliverables in this Statement of Work are completed within six months or additional Services fees will apply.
