AMENDMENT NO. 1 TO THE
CONTRACT
BETWEEN
MARICOPA COUNTY
ADMINISTERED BY ITS
HUMAN SERVICES DEPARTMENT
AND
DIOCESAN COUNCIL FOR THE SOCIETY OF SAINT VINCENT DE PAUL
I. Maricopa County (“County”), administered by its Human Services Department, and
Diocesan Council for the Society of Saint Vincent de Paul, a non-profit, community-based
organization (“Contractor”) entered into a financial agreement (“Agreement”), which was
fully executed on or about June 16, 2021, for weather relief accommodations for people
experiencing homelessness. The Agreement Start Date is June 9, 2021, and the
Termination Date is September 30, 2021. In accordance with the terms of the Agreement,
the County will pay the Contractor an amount not to exceed $387,782 for those services.
The County and Contractor collectively are referred to as the “Parties.”
II. The Parties agree to enter into this Amendment No. 1 to amend the Agreement as follows:
A. Increase the Agreement amount by $343,682 from $387,782 to $731,464 in order
to add unanticipated budget line items such as security, additional staffing, cots,
and shade/misters (see attached Budget Addendum).
B. Funding for Amendment No. 1 is provided by Maricopa County General Funds.
C. Replace Section 38.0 with the following:
38.0 LEGAL AGREEMENT.
Each Party acknowledges that it understands the meaning of all terms
contained in this Agreement and agrees to their application and
enforceability. Each Party acknowledges and represents that it is duly
organized, validly existing, and in good standing, and has the right, power,
and authority to enter into this Agreement and bind itself to it through the
person set forth as signatory for the Party below. The person signing this
Agreement represents and warrants that he or she is duly authorized and
has the legal capacity to execute this Agreement.
III. Section II above contains all the changes made by this Amendment No. 1. All other terms
and conditions of the Agreement shall remain the same and in full force and effect as
approved.
IV. The Parties have authorized the undersigned to execute this Amendment No. 1 on their
behalf.
V. This Amendment No. 1 shall be effective upon approval and signature by both Parties.
