Contract No. C-22-15-084-3-08 Amendment No. 8 AMENDMENT NO. 8 TO THE AGREEMENT BETWEEN MARICOPA COUNTY ADMINISTERED BY ITS HUMAN SERVICES DEPARTMENT AND CENTRAL ARIZONA SHELTER SERVICES I. Maricopa County (County) by and through its Human Services Department and Central Arizona Shelter Services (Contractor) entered into a financial Agreement on or about July 7, 2015. The Agreement contained a Termination date of June 30, 2016. The purpose of the Agreement is for the Contractor to provide emergency shelter services to homeless individuals or families. The Agreement includes an option to extend the Agreement for five, one-year terms. The County and the Contractor collectively are referred as the “Parties.” The Parties fully executed Amendment No. 1 on or about December 17, 2015. It, among other things, reduced the funding amount. Amendment No. 2 was fully executed on or about August 11, 2016. Among other things, it extended the Agreement Termination Date to June 30, 2017. The Parties fully executed Amendment No. 3 on or about August 28, 2017. It, among other things, extended the termination to June 30, 2018. Amendment No. 4 was fully executed on or about July 9, 2018. Among other things, it extended the Agreement Termination Date to June 30, 2019. The Parties fully executed Amendment No. 5 on or about June 19, 2019. It, among other things, extended the Agreement Termination Date to June 30, 2020. The Parties fully executed Amendment No. 6 on or about June 24, 2020. It, among other things, extended the Agreement Termination Date to June 30, 2021. The Parties fully executed Amendment No. 7 on or about October 13, 2020. It, among other things, added an additional $200,000 for FY 2021 and revised the Work Statement. II. The Parties agree to enter into this Amendment No. 8 to further amend the Agreement as follows: A. Revise Section II (Special Provisions), Subparagraph 2 of Paragraph O (Contract Term and Option to Extend) to read as follows: 2. The County may, at is option and with the agreement of the Contractor, renew the term of this Agreement for ten additional one-year (or shorter) terms. The County shall notify the Contractor in writing of its intent to extend the term at least thirty calendar days prior to the expiration of the original Agreement term, or any subsequent additional terms. B. Extend the Agreement Termination Date from June 30, 2021, through June 30, 2022. C. Add that the County shall provide the Contractor with $450,000 in General Funds for the period July 1, 2021, through June 30. 2022. The total funds under this Amendment No. 8 shall not exceed $450,000 for continued emergency shelter services for individuals and families experiencing homelessness in Maricopa County. D. Add that unexpended funds provided under this Agreement and Amendment Nos. 1 through 7 shall revert to the County and shall not be available for the extended Page 1 of 5 Central Arizona Shelter Services Contract No. C-22-15-084-3-08 Amendment No. 8 term of July 1, 2021, through June 30, 2022. E. Add that the period of funding availability under this Amendment No. 8 shall begin on July 1, 2021, and extend through June 30, 2022. F. Revise Section I (General Provisions) to add the following paragraph: YY. SURVIVAL The indemnification, hold harmless, defense, and non-liability provisions of this Agreement shall have full force and effect notwithstanding any other provisions in this Agreement and shall survive the termination or expiration of this Agreement. G. Revise Section II (Special Provisions), Paragraph G (Contractor Changes), by replacing it with the following: G. CONTRACTOR CHANGES AND ADMINISTRATIVE CHANGE ORDERS 1. Contractor Changes: The Contractor is required to notify the MCHSD Director, in writing, within fifteen calendar days, of any changes in the following: a. Agency executive staff funded under this Agreement; b. Agency authorized signatory; c. Agency address, phone, fax, or email addresses; d. Person to whom Agreement notices should be sent; and e. Any changes in insurance providers. 2. Administrative Change Orders a. Administrative Change Orders – The Chairman of the Board of Supervisors is authorized upon the recommendation of the Human Services Department Director and Legal Counsel to make changes within the general scope of the Agreement on behalf of the County through Administrative Change Orders. Administrative Change Orders shall be approved and fully executed by the Chairman of the Board of Supervisors and the Contractor. i. Administrative Change Orders may address any of the following areas: 1) Modifications to the project timeline if the last day of the project timeline is within the Agreement term; 2) Modifications to Budget line items if the Agreement Amount remains unchanged; 3) Modifications required by federal, state, or County regulations, ordinances, or policies; and 4) Modifications to administrative requirements such as changes in reporting periods, frequency of reports, or report formats required by HUD or local regulations, policies, or requirements. ii. It is the responsibility of the Contractor to ensure the latest documents are consulted and followed. Page 2 of 5 Central Arizona Shelter Services Contract No. C-22-15-084-3-08 Amendment No. 8 H. Revise Section III (Work Statement and Compensation) by deleting Paragraph C and replacing it with the following: C. REIMBURSEMENT 1. The Contractor shall submit monthly requests for reimbursement by the 15th calendar day of the month following the month close out. 2. The Contractor shall submit the final reimbursement for each Work Statement not later than 15 calendar days after the reimbursable period ends. 3. All requests for reimbursements shall be submitted to: HSDFINANCE@MARICOPA.GOV 4. The County shall reimburse the Contractor on a Net “0” payment standard. I. Revise Section III (Work Statement and Compensation) by adding the following paragraph: D. FUNDING Subject to the availability and authorization of funds, the anticipated funding for this Amendment No. 8 for fiscal year 2022 is $450,000. J. Revise Section IV (ATTACHMENTS) to attach regarding fiscal year 2022 Attachment 2, Operating Budget for Fiscal Year 2022. III. Section II above contains all the changes made by this Amendment No. 8. All other terms and conditions of the Agreement and Amendments Nos. 1, 2, 3, 4, 5, 6, and 7 shall remain the same and in full force as approved and amended. IV. The Parties have authorized the undersigned to execute this Amendment No. 8 on their behalf, and it shall be effective upon approval and signature by both Parties.
