Detention Services Agreement by and between
Maricopa County on behalf of the Maricopa County Sheriff’s Office
and Grand Canyon Education, Inc.

This Amendment to the Agreement between Maricopa County on behalf of the Maricopa County
Sheriff’s Office and Grand Canyon Education, Inc. d/b/a Grand Canyon University (“GCU”), a Delaware
Corporation, shall be effective on July 1, 2019 and upon approval of the Maricopa County Board of
Supervisors and Grand Canyon University (“GCU”), an Arizona non-profit corporation.
Recitals
Whereas the County acting on behalf of the Sheriff's Office and Grand Canyon Education, Inc. entered
into an Agreement for Detention Services executed September 20, 2017 (C-50-18-019-3-00).
Whereas Grand Canyon Education, Inc., a Delaware Corporation, assigned its rights and interests to
Gazelle University, an Arizona nonprofit corporation effective July 1, 2018 (see attachment A.,
ASSIGNMENT AND ASSUMPTION AGREEMENT).
Whereas Gazelle University, an Arizona nonprofit corporation changed its name to GRAND CANYON
UNIVERSITY, effective July 2018 (see attachment B. AMENDMENT TO THE FIRST AMENDED AND
RESTATED ARTICLES OF INCORPORATION OF GAZELLE UNIVERSITY).
Amendment #1 to the Detention Services Agreement is hereby acknowledged by Maricopa County and
Grand Canyon University (“GCU”):
1. Change the contract name to Detention Services Agreement by and between Maricopa
County on behalf of the Maricopa County Sheriff’s Office and GRAND CANYON
UNIVERSITY; and change all instances of Grand Canyon Education, Inc. to Grand Canyon
University.
This amendment shall be deemed to be part of the Agreement and, as modified in accordance herewith,
the Agreement is hereby reaffirmed and declared in full force and effect. This Amendment fully
supersedes and replaces any conflicting provisions contained in the Agreement as amended, leaving all
other provisions of the Agreement unaffected.
Amendment Effective Date: July 1, 2019.
