(the "Effective Date"), by and between Gazelle University, an Arizona nonprofit corporation
("Assignee"), and Grand Canyon Education, Inc., a Delaware corporation ("Assignor").
Capitalized terms used but not defined herein shall have the meanings ascribed to them in the
Purchase Agreement (as defined below).
RECITALS
A. Pursuant to that certain Asset Purchase Agreement, of even date herewith, by and
between Assignor, as seller, and Assignee, as buyer (the "Purchase Agreement"), Assignor has
agreed to assign to Assignee the Assumed Contracts and Campus Intangible Property
(collectively, the "Assigned Assets") and Assignee has agreed to assume the Assumed
Liabilities.
B. The execution and delivery of this Agreement by Assignee is required under the
Purchase Agreement in order to close the transaction described in the Purchase Agreement.
NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, the parties hereto agree as follows:

contained herein. This Agreement is entered into pursuant to the Purchase Agreement and is
subject to its terms and conditions. This Agreement and the Purchase Agreement shall be
interpreted consistently, simultaneously giving full effect to the terms and conditions of both
such agreements to the greatest extent possible. Nothing in this Agreement shall be deemed to
supersede, amend, modify, or otherwise affect any of the provisions of the Purchase Agreement,
all of which shall remain in full force and effect and survive the execution and delivery of this
Agreement, as provided in, and subject to the limitations set forth in, the Purchase Agreement.
In the event of any irresolvable conflict between the terms of the Purchase Agreement and this
Agreement, the terms of the Purchase Agreement shall govern and control.
5. Successors. This Agreement shall be binding on and inure to the benefit of the
