AMENDMENT No. 4 TO LICENSE AGREEMENT FOR USE OF REAL PROPERTY
GILBERT CONTRACT #2011-5001-0222
WHEREAS, the Town of Gilbert, an Arizona municipal corporation, “LICENSOR,” and
Maricopa County, a political subdivision of the State of Arizona, “LICENSEE,” collectively the
“Parties” and individually “Party,” entered into a License Agreement for Use of Real Property
dated September 11, 2011 and amended by three (3) prior renewals on July 25, 2012, September
9, 2013, and June 18, 2014 (the “Agreement”).
WHEREAS, the term of the Agreement expires September 14, 2019.
WHEREAS, Licensor and Licensee now mutually agree to enter into this Amendment No.
4 to amend the Agreement for a term specified below.
NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of
which is mutually acknowledged, the Parties agree as follows:
1. The foregoing recitals are, by this reference, incorporated and made a part of this
amendment.
2. The Agreement is hereby extended for approximately five (5) years, to commence
September 15, 2019 and expire September 30, 2024.
3. By mutual consent in writing the Parties may extend the Agreement.
4. Either Party may terminate the Agreement, for any reason or for no reason
whatsoever, upon thirty (30) days prior written notice to the other Party. This Agreement is subject
to termination pursuant to A.R.S. § 38-511.
5. The foregoing paragraphs contain all the changes made by this amendment. All
other terms and conditions of the Agreement and subsequent renewals and amendments remain
the same and in full force and effect.
