AMENDMENT No. 1 TO LEASE AGREEMENT
BETWEEN
A NEW LEAF, Inc.
AND
MARICOPA COUNTY
RECITALS
A. A New Leaf, Inc., as successor in interest to The Prehab Foundation, Inc., by Warranty Deed
recorded on September 5, 2015, Lessor and Maricopa County, Lessee, are parties to that certain
Lease Agreement No. L-7444 dated and approved by the Maricopa County Board of
Supervisors November 20, 2013, (the “Agreement”). The Agreement is for premises at 635 E.
Broadway Road, Mesa, AZ 85204, consisting of 5,000 square feet of office and clinic space
(the “Premises”).
B. The term of the Agreement expires December 31, 2018.
C. Lessor and Lessee now mutually desire to enter into this Amendment No. 1 to the Agreement
(“Amendment”) to amend the Agreement to create a new lease term, adjust the lease rate, add
certain improvements and update Lessee Notice address.
AGREEMENT
NOW THEREFORE, in consideration of the foregoing and other good and valuable
consideration, receipt and sufficiency of which is hereby acknowledged, Lessee and Lessor
agree to amend the Agreement as follows:
1. The Recitals, by this reference, are hereby incorporated into this Amendment.
2. The term of the Agreement is hereby extended five (5) years, commencing January 1, 2019
and expiring December 31, 2023. This Agreement, as amended, is subject to termination
pursuant to the provisions of A.R.S. § 38-511, the provisions of which are incorporated herein
by this reference.
3. Lessee shall pay Lessor a fee not to exceed Three Thousand Five Hundred Dollars ($3,500.00),
pro-rated in 24 monthly installments, for Lessee’s shared cost for a planned brick monument
sign improvement (the “Monument Sign”) to include Lessee name and logo, as depicted on
Exhibit “A”, attached hereto and made a part hereof. Lessor shall inform Lessee of its decision
to build the Monument Sign and/or its final cost no later than the first day of the month when
the 24th monthly installment payment is due.

Months 24 $145.91

Provided however, in the event that the Lessee’s shared sign cost is less than the estimated
$3,500.00, any remaining monthly amounts due to Lessor shall be adjusted to reflect the
reduction in cost. In the event that Lessor does not construct the Monument Sign, any
amount Lessee has paid towards to sign shall be reimbursed to Lessee within 30 days of the
decision to not build.
4. Lessee agrees to pay as base rent, in equal monthly installments, the sums as follows:

5. Notices to Lessee shall be sent to:

6. The effective date of this Amendment is the date of execution by the Maricopa County Board
of Supervisors.
7. The foregoing paragraphs contain all the changes made by this Amendment. All other terms
and conditions of the Agreement remain the same and in full force and effect.
