AMENDMENT No. 3 TO FACILITY USE / REVOCABLE LICENSE AGREEMENT
BETWEEN
KEOGH HEALTH CONNECTION
AND
MARICOPA COUNTY
This Amendment No. 3 (“Amendment”) to the Facility Use/Revocable License Agreement No.
P50238 by and between Keogh Health Connection, an Arizona non-profit corporation
(“Contractor”) and Maricopa County, a political subdivision of the State of Arizona (“County”),
dated and approved on March 14, 2014 and subsequently amended on January 14, 2015 and
February 3, 2016 by the Maricopa County Board of Supervisors (“Agreement”), is made and
entered into by and between the Contractor and the County, sometimes collectively hereinafter
referred to as the “Parties.”
RECITALS
A. The Agreement is for use of nine County licensed space locations designated on Exhibit A
to the Agreement.
B. The term of the Agreement expires February 28, 2018.
C. The Parties now mutually desire to amend the Agreement to create a new term and update
Exhibit “A”.
AGREEMENT
NOW THEREFORE, in consideration of the foregoing and other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, Contractor and
County agree to amend the Agreement as follows:
1. The Agreement term is hereby extended two (2) years, to commence March 1, 2018 and
expire February 29, 2020. The Agreement is subject to termination pursuant to the
provisions of A.R.S. § 38-511, the provisions of which by this reference are incorporated
herein.
2. Article 2. Contractor Responsibilities. Subsection 2.1, of the Agreement is hereby
amended by replacing Exhibit “A” in its entirety with the Exhibit “A” attached hereto and
incorporated herein by this reference.

3. The effective date of this Amendment is the date of execution by the Maricopa County
Board of Supervisors.
4. The foregoing paragraphs contain all the changes made by this Amendment. All other
terms and conditions of the Agreement remain the same and in full force and effect.
