License No. P-50160 Amendment No. 02 C-18-11-026-L-02 AMENDMENT TO LICENSE AGREEMENT FOR USE OF REAL PROPERTY Between MARISOL FEDERAL CREDIT UNION, LICENSEE And MARICOPA COUNTY, LICENSOR RECITALS A. Licensee and Licensor are Parties to that certain License Agreement No. P-50160 dated and approved by the Maricopa County Board of Supervisors April 13, 2011 and subsequently amended August 17, 2011, (the “License”). The License is for placement of automatic teller machines (ATM’s) at various locations within Maricopa County owned and/or controlled by Licensor. B. The term of the License expired June 30, 2016. C. Licensee and Licensor now mutually desire to amend the License to extend the term, modify Exhibit “A” and update Licensor and Licensee notice address. AGREEMENT NOW THEREFORE, in consideration of the foregoing and other valuable considerations, the receipt and sufficiency of which are mutually acknowledged, Licensee and Licensor agree to amend the License as follows: 1. The term of the License is hereby extended 5 (five) years to commence, retroactively, July 1, 2016 and expire June 30, 2021. The term of the License may be extended for 1 (one) 5-year term by mutual agreement of the Parties. The License is subject to termination pursuant to the provisions of A.R.S. § 38-511, the provisions of which are incorporated herein by this reference. The License may be terminated by either Party by giving a 30-day written notice to the other. 2. Exhibit “A” of the License, attached hereto and made a part hereof, is hereby modified to reflect a change in ATM locations. 3. The effective date of this Amendment is the date of execution by the Maricopa County Board of Supervisors. 5. The foregoing paragraphs contain all the changes made by this Amendment. All other terms and conditions of the original License and subsequent amendments shall remain the same and in full force and effect.
