Jefferson, 10th Floor Phoenix, AZ 85003 BOARD OF SUPERVISORS The Board of Supervisors of Maricopa County, Phoenix, Arizona, convened in Special Session at 3:30 PM on Thursday, September 22, 2016, in the Sullivan Conference Room, 301 W. Jefferson, 10th Floor, Phoenix, AZ 85003, with the following members present: Clint Hickman, Chairman, District 4; Andrew Kunasek, Vice Chairman, District 3; Steve Chucri, District 2 (via telephone); Denny Barney, District 1 (via telephone); Steve Gallardo, District 5 (via telephone). Also present: Fran McCarroll, Clerk of the Board; Joy Rich, County Manager; and Michelle Wood, Legal Counsel. Minutes compiled by Lori Medaris, Minutes Coordinator. 1. EXECUTIVE SESSION Vote to convene in Executive Session to consider the items on the Special Executive Agenda dated September 22, 2016, for Board of Supervisors and relevant Special Districts pursuant to the statutory authority listed for each item. Motion to approve by Supervisor Barney, seconded by Supervisor Chucri Ayes: Hickman, Kunasek, Chucri, Barney, Gallardo RECONVENED as the Stadium District Board of Directors STADIUM DISTRICT S-1 CONTRACTS, NEGOTIATIONS AND OTHER MATTERS RELATING TO CHASE FIELD Authorize Staff and Counsel to take action as directed in executive session regarding contracts, negotiations and other matters relating to Chase Field. This item was discussed in executive session on September 22, 2016. (C-06-17-131-7- 00) ~ Supervisor Gallardo entered the meeting ~ Paul Golab noted there was an earlier draft of the Access Agreement that was presented to the Board at the August 17, 2016 meeting, and the Board authorized that it could be executed when finalized in substantially the form presented at that time; however, the agreement has be revised Special Meeting Minutes Thursday, September 22, 2016 Page 2 of 2 to reflect that AZPB FM Partnership (the Facility Manager) does not feel it is necessary to be a party to the agreement in order to allow SREP access to the Facility and revisions have been made accordingly. The Access Agreement presently before the Board for consideration is ready for execution if it is approved. Motion made by Director Kunasek to approve the Access Agreement between the Stadium Real Estate Partners II, LLC (SREP) which grants SREP the right to access Chase Field to perform inspections and studies as part of due diligence in connection with SREP’s Letter of Intent to purchase the facility which was approved by the Board on August 17, 2016, seconded by Director Gallardo Ayes: Hickman, Kunasek, Chucri, Barney, Gallardo MEETING ADJOURNED After discussion on the executive items and there being no further business to come before the Board, the meeting was adjourned. _______________________________ Clint Hickman, Chairman of the Board ATTEST _______________________________ Fran McCarroll, Official Record Keeper
