This Statement of Work ("SOW') shall be subject to the terms and conditions of the CivicPlus Master Services
Agreement located at https://www.civicplus.com/master-services-agreement ("MSA"), to which this SOW is hereby
attached as the CivicEngage Statement of Work. By signing this SOW, Client expressly agrees to the terms and
conditions of the MSA throughout the Term of this SOW.

Client will be invoiced for the Total Investment - Year 1 upon signing and submission of this SOW. The Annual
Recurring Services subscription fee for Client's existing CivicEngage subscription shall be reduced to $15,000. The
Annual Recurring Services shall further be prorated to reflect an adjusted billing cycle beginning October 1, 2020 through
June 30, 2021. Subsequent Annual Recurring Services shall be invoices for the full annual amount July 1 each year,
subject to a 5% annual increase beginning July 1, 2022.

The Parties each acknowledge and agree the fees described herein do not include any sales tax that may apply, and
that any such sales tax shall be passed through to Client.
