(D/B/A/ NEOGOY) This CITY ADDENDUM (“Addendum”) modifies the Services Agreement V091024 dated , 2025 (the “Agreement’), entered into by Governmentjobs.com, Inc. (D/B/A “NEOGOV”), a California Corporation and the City of El Mirage, an Arizona municipal corporation (“City”). AGREEMENT 1. The following new Sections are hereby added to the Agreement to read as follows: 24. Indemnification. To the fullest extent permitted by law, and subject to the limitation of liability in Section 15 of the NEOGOV Services Agreement, but such limitation of liability shall not limit insurance coverage available pursuant to Section 25 of this Agreement, and without limiting NEOGOV’s obligations to the Town under Section 14.b of the NEOGOV Services Agreement, the NEOGOV agrees to defend, indemnify and hold harmless the City and each officer, official, or employee or agent thereof (the City and any such person being herein called an “Indemnified Party”), for, from and against any and all third party losses, claims, damages, liabilities, costs and expenses (including, but not limited to, reasonable attorneys’ fees, court costs and the costs of appellate proceedings) to which any such Indemnified Party may become subject, under any theory of liability whatsoever (“Claims”), insofar to the extent such Claims (or actions in respect thereof) relate to, arise out of: (a) the NEOGOYV’s violation of applicable law, (b) bodily injury, death, or personal tangible property damages; or (c) NEOGOV’s gross negligence or willful misconduct. This indemnity obligation shall survive termination of this Agreement. Commercial General Liability. NEOGOV shall maintain “occurrence” form Commercial General Liability insurance with an unimpaired limit of not less than $1,000,000 for each occurrence and a $2,000,000 General Aggregate Limit. The policy shall cover liability arising from premises, operations, products-completed operations, personal and advertising injury. To the fullest extent allowed by law, for claims arising out of the performance of the Agreement, the Town, its agents, representatives, officers, officials and employees shall be cited as an Additional Insured with respect to liabilities falling within NEOGOV’s indemnity obligations pursuant to the terms of this Agreement. The Errors and Omissions Liability policy must include Privacy/Network Security that addresses costs of liabilities arising from a breach caused by the NEOGOV’s network risks such as data breaches, unauthorized access or use, ID theft, and theft of data, and invasion of privacy regardless of the type of media involved in the loss of private information, crisis management, and identity theft response costs . NEOGOYV shall provide the City with the Certificates of Insurance and necessary endorsements to ensure the City is provided with the insurance coverage set forth herein, Conflict of Interest Notice Regarding A.R.S. § 38-511. Seller covenants that it presently has no interest and shall not acquire any interest, direct or indirect, that would conflict in any manner or degree with the performance of services required to be performed under this Agreement. The parties agree that this Agreement may be cancelled for conflict of interest in accordance with Arizona Revised Statutes § 38-511. Israel. To the extent A.R.S. § 35-393 through § 35-393.03 is applicable, Seller certifies that it is not currently engaged in, and agrees for the duration of this Agreement that it will not engage in, a boycott of goods and services from Israel, as that term is defined in A.R.S. § 35-393. China, Pursuant to and in compliance with A.R.S. § 35-394, Seller hereby agrees and certifies that it does not currently, and agrees for the duration of this Agreement that Contractor will not, use: (1) the forced labor of ethnic Uyghurs in the People’s Republic of China; (2) any goods or services produced by the forced labor of ethnic Uyghurs in the People’s Republic of China; or (3) any contractors, subcontractors or suppliers that use the forced labor or any goods or services produced by the forced labor of ethnic Uyghurs in the People’s Republic of China.
