AMENDMENT NO.5 TO THE
INTERGOVERMENTAL AGREEMENT

MARICOPA COUNTY
by and through
DEPARTMENT OF PUBLIC HEALTH
and

MCSHCD dba VALLEYWISE HEALTH

Maricopa County ("County") and the Maricopa County Special Health Care District (MCSHCD)
dba Valleywise Health ("Subrecipient") entered into a financial Intergovernmental Agreement
("Agreement") on or about November 3, 2021. The purpose of the Agreement is to respond to
the public health emergency caused by COVID-19, and to provide funds to assist in the
economic recovery from the pandemic, including programs and services for mental health
treatment and behavioral health services. The County: is authorized to distribute American
Rescue Plan Act of 2021 (ARPA) funds to subrecipients to accomplish the purposes of ARPA,
The County provided the Subrecipient with$ 16 Million in ARPA funds to be spent on capital
expenditures and improvements of behavioral health facilities, as outlined in the Agreement.
On or about March 24, 2022, the Parties executed Amendment No. 1 lo the Agreement, to
provide an additional $ 3.2 Million in ARPA funds to Subreciplent to build an additional
courtroom and space for attorneys and staff at the Valleywise Behavioral Health Center -
Maryvale, to conduct proceedings related to court-ordered evaluations and treatment of
persons with mental illness, and other related behavioral health services. The County and the
Subreciplent may be referred to Individually as the "Parly" and collectively as the "Parties».

The Parties agree to enter this Amendment No. 5 to amend the agreement as follows:

The Agreement is hereby extended through December 31, 2025.
Section Il above contains all the changes made by this Amendment No. 5. All other terms and
conditions of the Agreement and prior Amendments shall remain in full force and effect as

executed by the Parties.

The Parties have authorized the undersigned to execute this Amendment No. 5 on their behalf,
and it shall be effective upon approval and signature by the parties.
