TERMINATION OF JOINT PROJECT AGREEMENT  
BETWEEN MARICOPA COUNTY AND NORTHERN CITRUS LLP 
FOR IMPROVEMENTS TO NORTHERN AVENUE AND CITRUS ROAD 
(C-64-25-080-X-02) 
This Termination of Joint Project Agreement (this “Termination”) is made effective as of 
the date recorded in the Official Records of Maricopa County, Arizona, by and between 
NORTHERN CITRUS LLP, an Arizona limited liability partnership (“Developer”) and the 
COUNTY OF MARICOPA, a political subdivision of the State of Arizona (“County”). 
Developer and County are the parties to that certain Joint Project Agreement Between 
Maricopa County and Northern Citrus LLP for Improvements to Northern Avenue and Citrus Road 
(C-64-25-080-X-00) dated February 26, 2025, and recorded on February 28, 2025, in the Official 
Records of Maricopa County, Arizona, as Document No. 2025-0109442 (the “Prior Agreement”). 
Developer and County have entered into the Joint Project Agreement Between Maricopa County 
And Northern Citrus LLP For Improvements To Northern Avenue And Citrus Road dated May 9, 
2025, and recorded in the Official Records of Maricopa County, Arizona, as Document No. 2025-
0266012 which supersedes and replaces the Prior Agreement; accordingly, the parties desire to 
create notice of record of the termination of the Prior Agreement.   
NOW, THEREFORE, in consideration of the premises above and the mutual covenants 
and agreements contained herein and other good and valuable consideration, the receipt and 
sufficiency of which are hereby acknowledged, Developer and County hereby terminate the Prior 
Agreement, effective as of the date of recording of this Termination in the Official Records of 
Maricopa County, Arizona. The Prior Agreement shall be of no further force or effect, neither 
Developer nor County shall have any obligations whatsoever under the Prior Agreement, and the 
Prior Agreement shall no longer encumber the property described therein.
