AMENDMENT NO. 3 
For Citywide Custodial Services  
(with Pivot Building Services, L.L.C., Contract No. C21-0061) 
 
This Amendment No. 3 (“Amendment”) to the Citywide Custodial Services (“Agreement”) is made 
this 1st day of February, 2023, (“Effective Date”), by and between the City of Glendale, an Arizona 
municipal corporation (“City”) and Landmark Building Maintenance Services, L.L.C. dba Pivot 
Building Services, L.L.C., an Arizona limited liability company authorized to do business in the State 
of Arizona (“Consultant”). 
 
RECITALS 
 
A. 
City and Consultant previously entered into an Agreement for Citywide Custodial Services, 
Contract No. C21-0061, dated January 26, 2021 (“Agreement”); and 
 
B. 
On July 23, 2021, City and Consultant entered Amendment No. 1 to add services to the Scope 
of Work (C21-0061-1); and 
 
C.  
On October 22, 2021, the Parties extended the term of the contract through January 25, 2023, 
pursuant to a Contract Extension letter (C21-0061-2); and  
 
D. 
City and Consultant wish to modify and amend the Agreement subject to and strictly in 
accordance with the terms of this Amendment. 
 
AGREEMENT 
 
In consideration of the mutual promises set forth herein and other good and valuable consideration, 
the receipt and sufficiency of which are hereby acknowledged, the City and Contractor hereby agree 
as follows: 
 
1. 
Recitals.  The recitals set forth above are not merely recitals but form an integral part of this 
Amendment. 
 
2. 
Term.  The term of the Agreement is extended through January 25, 2024.  
 
3. 
Scope of Work. The scope of work is amended to provide for routine cleaning for additional 
locations listed in Attachment 1.  
 
4.  
Compensation. Compensation is increased to $2,000,000 annually. The not-to-exceed 
amount is revised to $8,000,000 for the entire term of the Agreement, including any renewals 
or extensions. Revised pricing is listed in Attachment 2.   
 
5. 
Insurance Certificate.  Current certificate will expire on April 1, 2023. A new certificate 
applying to the extended term must be provided prior to this date to Materials Management 
and the Contract Administrator. 
 
6. 
Non-discrimination.   Contractor must not discriminate against any employee or applicant 
for employment on the basis of race, color, religion, sex, national origin, age, marital status,
