AMENDMENT NO. 1 
 
City of Glendale Master Services Agreement for Homelessness Services 
(Contract No. C21-0580) 
 
This Amendment No. 1 (“Amendment”) to the City of Glendale Master Services Agreement 
for Homelessness Services (“Agreement”) is made this 25th day of April, 2023, (“Effective 
Date”), by and between the City of Glendale, an Arizona municipal corporation (“City”) and 
Central Arizona Shelter Services, Inc., an Arizona Nonprofit Corporation authorized to do 
business in Arizona (“Subrecipient”). 
 
RECITALS 
 
1. 
City and Subrecipient previously entered into the City of Glendale Master Services 
Agreement for Homelessness Services, Contract No. C21-0580, dated June 22, 2021 
(“Agreement”); and 
 
2. 
Under the terms of the Agreement, Subrecipient received $3,394,008 in certain funds 
under the Community Development Block Grant (CDBG) and Emergency Solution 
Grant (ESG) programs to conduct certain qualifying activities and services that 
comprehensively address the needs of the homeless population in the City; and 
 
3. 
Subrecipient has to date performed satisfactorily under this Agreement and requires 
additional funding to continue providing services contained in said Agreement; and  
 
4. 
City and the Subrecipient therefore wish to modify and amend the Agreement subject 
to and strictly in accordance with the terms of this Amendment;  
 
 
AGREEMENT 
 
In consideration of the mutual promises set forth herein and other good and valuable 
consideration, the receipt and sufficiency of which are hereby acknowledged, the City and 
Contractor hereby agree as follows: 
 
1. 
Recitals. The recitals set forth above are not merely recitals but form an integral part 
of this Amendment. 
 
2. 
Term. The term of the Agreement, as contained in Section 2, is extended for a one-
year period from June 30, 2023 through June 30, 2024, unless otherwise terminated or 
canceled as provided by the Agreement. No funds will revert to the City as provided 
in Section 3.5 of the Agreement until after the extended period as provided herein 
expires. 
 
3. 
Funding Amount.  The funding amount of the Agreement, as contained in Section 
3.1, is increased by $414,876, as further described in Attachment A to this 
Amendment. 
 
4. 
Match.  HUD regulations require a 100% nonfederal match to ESG funding that shall

be provided by the Subrecipient in a manner acceptable to the City.  The match 
amount provided by Subrecipient in Section 3.6(b) of the Agreement is therefore 
increased from $195,430 to $610,306. 
 
5. 
Ratification of Agreement. City and Subrecipient hereby agree that except as 
expressly provided herein, the provisions of the Agreement shall be, and remain in full 
force and effect and that if any provision of this Amendment conflicts with the 
Agreement, then the provisions of this Amendment shall prevail.
