AMENDMENT NO. TWO
Oasis WTP Miscellaneous Minor Modifications
(Project 212219, Contract No. C22-0416)
This Amendment No. Two (“Amendment”) to the Professional Services Agreement (“Agreement”)
is made this ______ day of ________, 2023, (“Effective Date”), by and between the City of Glendale,
an Arizona municipal corporation (“City”) and Black & Veatch Corporation, a Delware corporation,
authorized to do business in Arizona (“Contractor”).
RECITALS
A.
City and Black & Veatch Corporation (“Contractor”) previously entered into a Professional
Services Agreement, Contract No. C22-0416, dated April 19, 2022 (“Agreement”); and
B.
City and Black & Veatch Corporation entered into Amendment No. One, Contract C22-0416-
1, dated October 11, 2022, increasing the scope of services and compensation by an additional
$330,438; and
C.
City is seeking to expand the scope of services and increase the compensation to be paid under
this agreement by an additional $109,370, and
D.
City and Contractor wish to modify and amend the Agreement subject to and strictly in
accordance with the terms of this Amendment.
AGREEMENT
In consideration of the mutual promises set forth herein and other good and valuable consideration,
the receipt and sufficiency of which are hereby acknowledged, the City and Contractor hereby agree
as follows:
1.
Recitals. The recitals set forth above are not merely recitals but form an integral part of this
Amendment.
2.
Term. The term of the Agreement is extended for a one-year period from April 19, 2023
through April 18, 2024, unless otherwise terminated or canceled as provided by the
Agreement. All other provisions of the Agreement except as set forth in this Amendment
shall remain in their entirety.
3.
Scope of Work. The Scope of Work shall be revised to include additional design and
construction administration and inspection services for Phase II as detailed in the attached
exhibit.
4.
Compensation. The compensation shall be increased by an additional $109,370, to a new not
to exceed amount of $489,500, as specifically detailed in the attached exhibit.
5.
Insurance Certificate. Current certificate will expire on April 30, 2023 and a new certificate
applying to the extended term must be provided prior to this date to Materials Management
and the Contract Administrator.

6.
Non-discrimination. Contractor must not discriminate against any employee or applicant
for employment on the basis of race, color, religion, sex, national origin, age, marital status,
sexual orientation, gender identity or expression, genetic characteristics, familial status, U.S.
military veteran status or any disability. Contractor will require any Sub-contractor to be bound
to the same requirements as stated within this section. Contractor, and on behalf of any
subcontractors, warrants compliance with this section.
7.
No Boycott of Israel. To the extent A.R.S § 35-393 through § 35-393.03 are applicable, the
parties hereby certify that they are not currently engaged in, and agree for the duration of the
Agreement to not engage in, a boycott of goods or services from Israel, as that term is defined
in A.R.S § 35-393.
8.
Uyghur Forced Labor Prevention Act (UFLPA). Contractor certifies that it does not
currently, and during the term of this Agreement, will not use:
(a)
the forced labor of ethnic Uyghurs in the People’s Republic of China;
(b)
any goods or services produced by the forced labor of ethnic Uyghurs in the People’s
Republic of China; and
(c)
any contractors, subcontractors or suppliers that use the forced labor or any goods or
services produced by the forced labor of ethnic Uyghurs in the People’s Republic of
China.
9.
Attestation of PCI Compliance. When applicable, the Contractor will provide the City
annually with a Payment Card Industry Data Security Standard (PCI DSS) attestation of
compliance certificate signed by an officer of Contractor with oversight responsibility.
10.
Ratification of Agreement. City and Contractor hereby agree that except as expressly
provided herein, the provisions of the Agreement shall be, and remain in full force and effect
and that if any provision of this Amendment conflicts with the Agreement, then the provisions
of this Amendment shall prevail.

EXHIBIT A - OASIS WTP MISCELLANEOUS MINOR MODIFICATIONS –
PHASE II AMENDMENT REQUEST #2 – PROJECT DESCRIPTION
Background & Purpose
The City of Glendale requested Black & Veatch (Consultant) to design and implement miscellaneous
minor modifications to the Oasis Surface Water Treatment Plant (Oasis WTP). Based on additional
feedback from City operations and maintenance personnel, the City has requested Consultant to
provide additional design and construction support for various improvements and rehabilitation.
General Project Scope
This Miscellaneous Minor Modifications Project will be performed by the Consultant in two phases:
•
Phase I – overall project evaluation and assessment and expedited design of rehabilitation /
improvement of existing equipment (PREVIOUS PROJECT – City Project #212219; Contract C22-
01416)
•
Phase II – detailed design and CA&I of recommended improvements (PREVIOUS PROJECT – City
Project #212219; Contract C22-0416-1)
•
Phase II – additional detailed design and CA&I of recommended improvements (THIS PROJECT –
City Project #212219)
The Phase II of this project includes the following scope of work tasks performed by the Consultant as
described herein:
o Detailed design of improvements identified herein
o Construction administration and inspection services for the improvements identified
herein
Scope of Services
The Scope of Services for the overall Project is based on the following elements:

Task 100 – Facility Evaluation and Assessment of Existing Systems Services (Phase I – PREVIOUS
PROJECT)
•
Task 200 – Detailed Design Services (Phase II – THIS PROJECT AS NOTED)
•

PHASE II AMENDMENT REQUEST #2 – SCOPE OF SERVICES
Task Group 100 – Facility Assessment of Existing Systems
The modifications associated with Oasis Surface Water Treatment Plant (Oasis WTP) and Oasis
Groundwater Treatment Plant (Oasis GTP) associated with this Miscellaneous Minor Modification
project were included in Phase I and Phase II of this project for: Finished water sampling building,
finished water electrical building (HVAC), Administration Building (HVAC and laboratory), brine /
chemical pumping and containment areas, chemical building electrical room, filter gallery, and lagoons.
Task 101: Review Available Documentation
Review of information and plant facility records was included in Phase I of this project.
Task 102: Site Investigations
Site investigation visits for systems identified in Phase II Task Group 200 were included in Phase I of this
project.
Task Group 200 – Detailed Design Services
Tasks consisting of in-kind replacements were included with Phase I (Tasks 201-205). Amendments to
the previously identified task (Tasks 206, 207 and 208) are included herein.
TASK 206 – Relocating the EPDS/ Trim Feed Location
The original scope of work assumed the entry point to the distribution system (EPDS) would be
relocated downstream of the existing disinfection trim feed points to the existing manual sample
locations. However, the City requested the EPDS remain the same and to relocate the disinfection trim
feed upstream of the existing EPDS location. The City requested the Consultant evaluate the option of
injecting the disinfection trim feed either directing into the 54” piping upstream of the existing sampling
location or by adding injection quills for the trim feed within the reservoir. Both these options require a
new sample pump in the finished water reservoir upstream of the new trim feed location as well as
active or static mixing options to ensure the feed is mixed properly before being sampled. These options
entail structural, mechanical, electrical, and instrumentation changes to the initial design identified in
Phase II scope of work. As part of the new sample pump in Finish Water Reservoir No. 1 addition,
Consultant will update electrical plans, add conduit routing, and update panel schedules. Using the
conformed to construction record drawings as the background, Consultant will create additional
drawings and specifications to facilitate this change.
Task 207 – Evaluation and Replacement of HVAC Systems
The original scope anticipated in-kind replacement of the Administrative Building roof-mounted package
air conditioner (PAC-101) and adding a 50-60% rated backup split-system at grade. However, after initial
option evaluation the City requested the Consultant replace the existing PAC-101 with two roof-
mounted PAC units and make modifications to the existing ductwork supplying the existing server room.

In addition, the original scope anticipated replacement of the existing split system HVAC unit with
internal redundancy at the Main (Finished Water) Electrical Building with of two (2) independent 20-ton
units and associated existing ductwork modification while maintaining the existing air handling unit
(AHU-401). During detailed design, demolition of AHU-401 was deemed necessary and redesign of the
two unit and associated ductwork layout is needed.
Task 208 – Chemical Metering Pumps Replacement
The original scope included replacement of the existing aluminum sulfate (alum) and sodium hydroxide
(caustic) positive displacement metering pumps be replaced with peristaltic pumps. During design, the
City requested the Consultant also replace the existing positive displacement fluoride metering pumps
with peristaltic pumps. Consultant will modify the current drawings and specifications to incorporate
this request using similar techniques as described in the original scope for this task. Consultant will
update electrical plans, PLC one-line diagrams and panel schedule to accommodate demolition of the
existing fluoride pumps and new fluoride peristaltic pumps. Fluoride peristaltic pump specification
section will be reviewed and edited to coordinate power supply requirements. The latest conformed to
construction record set will be updated to facilitate this change.
The City also requested the Consultant to include new chemical flowmeters to the alum and caustic feed
piping. There would be one alum and up to three (3) caustic flowmeters added for measuring chemical
flow the different feed points within the plant. Consultant will update electrical plans, PLC one-line
diagrams and panel schedule to accommodate additions of the flowmeters. Flowmeter specification
section will be reviewed to coordinate power supply requirements. The latest conformed to
construction record set will be updated to facilitate this change. DELIVERABLE: The Consultant will
provide detailed technical drawings and specifications towards this effort.

Consultant will attend up to two (2) additional meeting/site visit to evaluate power supply and
monitoring and controls circuits of the existing equipment. Consultant will provide handouts
including preliminary design recommendations based on mark ups on the latest record
drawings.
-
Consultant will attend up to two (2) additional meeting/site visit to evaluate various scenarios
and operational sequences.
-
Consultant will include the additional drawings and specifications associated with the new work
in the electronic pdf copy of the 60% Design drawings and specifications set that is being
developed for the original scope, for City / JOC review.
-
Consultant will provide one (1) electronic pdf copy of the Agency Review Design drawings and
specifications for City / JOC / Agency (MCESD and City Building Safety)

previously identified in the original scope):

Task Group 300 – Construction Administration and Inspection Services
Consultant will perform Construction Administration and Inspection (CA&I) services per the original
scope of work with the following additions as described herein.
Task 301 – Payment Application & Schedule Reviews
Consultant assumes an additional two (2) months to be added to the original construction duration
contingent on procurement of equipment.
Task 302 – Submittal Review
With the additional changes associated with this amendment, Consultant assumes reviewing fifteen (15)
additional submittals, including preliminary and final vendor O&Ms and JOC MOPOs. If additional shop
drawings are received beyond the assumed number of submittals, they will be reviewed as a
supplemental service.
Task 303 – Issue Interpretations and Clarifications
With the additional changes associated with this amendment, Consultant assumes up to three (3)
additional RFIs are estimated. If additional RFIs are received, they will be reviewed as a supplemental
service.
Task 304 – Allowance / Change Order Reviews
With the additional changes associated with this amendment, Consultant assumes up to two (2)
allowance / change order requests. If additional allowance / change orders are identified, they will be
reviewed as a supplemental service.
Task 305 – Representation on Behalf of City
With the additional changes associated with this amendment, Consultant assumes two additional
months of representation on behalf of the City.
Task 306 – Conformed to Construction Record Drawings
With the additional changes associated with this amendment, Consultant anticipates 18 additional
drawings will be included in the final conformed to construction record drawing set.
Task 307 – Asset Management System Updates
Incorporation of additional asset attribute information associated with this amendment will be
considered a supplemental service and incorporated as original budget and/or Owner’s Allowance funds
allow.
Task Group 400 – Resident Services During Construction
Currently Consultant will furnish a part-time Resident Project Representative (RPR) to observe the
Contractor's work and perform the services described in the amendment to the original contract.
Consultant will utilize the original budget for resident services associated with this amendment.

However, if additional RPR specifically associated with the Electrical, Instrumentation & Control Project
Representative (EICPR) are required, they will be performed as a supplemental service.
Task Group 500 – Project Management
Task 501: General Management and Administration
The Consultant will continue to provide management and administration per the original contract.
Task 502: Conduct Monthly Progress Meetings
For the design phase progress meetings, the Consultant will hold additional monthly progress meetings
to discuss the changes described herein.
Owner’s Supplemental Services Allowance
The Owner’s supplemental services allowance can be utilized for additional tasks at the City’s discretion.
Additional tasks may only be performed after receipt of written authorization by the City.
SCHEDULE
The current schedule associated with the project will be utilized for this amendment.
