v MAR) COPA COUNTY INTERGOVERNMENTAL AGREEMENT BETWEEN Mesa Unified School District No. 4 and Maricopa County administered by the Office of the Maricopa County School Superintendent This Intergovernmental Agreement (IGA) is made and entered into by and between the Mesa Unified School District No. 4 Smith Junior High School (hereinafter referred to as the "District") and Maricopa County administered by the Office of the Maricopa County School Superintendent (hereinafter referred to as the "Superintendent's Office"), collectively referred to as the "Parties," pursuant to Arizona Revised Statutes §§ 11-951 through 11-954. RECITALS WHEREAS, the District desires to provide its students with opportunities to engage in innovative and educational activities through the EV Innovators Club, which will enhance their understanding of electric vehicle (EV) technology and industry practices; and WHEREAS, the Superintendent's Office supports initiatives that promote STEM education and industry engagement within schools across Maricopa County; and WHEREAS, the Parties wish to collaborate on providing services for the EV Innovators Club to benefit students within the District; NOW, THEREFORE, in consideration of the mutual promises and obligations contained herein, the Parties agree as follows: 4041 N. Purpose The purpose of this IGA is to establish the terms and conditions under which the Superintendent's Office will reimburse the District for the costs associated with a membership to the EV Innovators Club, and the District will provide services to support the club’s activities during the 2024-2025 school year. 2. Responsibilities of the District The District agrees to: a. Purchase a membership to the EV Innovators Club at the cost of $3,500. b. Ensure that the membership includes the following: i. All supplies and materials required for participation. ii. Aclub sponsor training event. iii. Wwice-monthly webinars with EV industry professionals from September to November 2024. iv. Weekly club activities from September to December 2024. v. Entry into community events to showcase student learning. c. Use its processes and resources to compensate the club sponsor at a rate agreed upon by the District. d. Submit an invoice to the Superintendent's Office for the reimbursement of the $3,500 membership fee. 3. Responsibilities of the Superintendent's Office The Superintendent's Office agrees to: a. Reimburse the District $3,500 for the EV Innovators Club membership upon receipt of a properly submitted invoice. 4041 N. Support the District's efforts in promoting and facilitating the EV Innovators Club activities and events. 4. Duration and Termination This IGA shall be effective from the date of execution by both Parties and shall remain in effect until December 31, 2024, unless terminated earlier by mutual written agreement of the Parties. Either Party may terminate this IGA with 30 days' written notice to the other Party. 5. Method of Payment a. The District shall submit an invoice for reimbursement to css.invoices@maricopa.gov b. Payment shall be made to the District by Accounts Payable through the Maricopa County Vendor Express Payment Program. This is an Electronic Funds Transfer (EFT) process. The District must complete the Vendor Registration Form located on the County Department of Finance Vendor Registration website: https://azdom- vss.hostams.com/webapp/PRDVSS1X1/AltSelfService. 6. Central Avenue, Ste. 1100, Phoenix, AZ 85012 Phone 602-506-3866 * Fax 602-506-3753 v MARICOPA COUNTY Each Party (as "Indemnitor") agrees to indemnify, defend, and hold harmless the other Party (as "Indemnitee") from and against any and all claims, losses, liability, costs, or expenses (including reasonable attorney's fees) arising out of bodily injury to persons or damage to property caused by the negligent or willful acts or omissions of the Indemnitor, its officers, agents, employees, or contractors in the performance of this IGA. 6. Governing Law This IGA shall be governed by and construed in accordance with the laws of the State of Arizona. This IGA may be cancelled pursuant to Arizona Revised Statutes section 38-511. 7. Amendments This IGA may be amended only by mutual written agreement of the Parties. 8. Entire Agreement This IGA constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations, and understandings, whether written or oral.
