Page 1 of 5 AMENDMENT NO. 15 TO THE SUBRECIPIENT AGREEMENT BETWEEN MARICOPA COUNTY ADMINISTERED BY ITS HUMAN SERVICES DEPARTMENT AND COMMUNITY BRIDGES, INC. I. Maricopa County (“County”), administered by its Human Services Department, and Community Bridges, Inc. (“Subrecipient”) entered into an Agreement, which was fully executed on April 20, 2020, for the operation of temporary emergency shelter services for homeless individuals experiencing homelessness in Maricopa County in an effort to protect them from exposure to COVID-19. In accordance with the terms of the Agreement, the County is to provide the Subrecipient with $295,296 in Community Development Block Grant and Emergency Solutions Grant funds. The term of the Agreement is from April 8, 2020, to October 8, 2020. The Agreement may be renewed by written amendments signed by authorized signers of both the County and Subrecipient. The County and the Subrecipient collectively are referred to here as the “Parties.” The Parties fully executed Amendment No. 1 on or about May 28, 2020. This Amendment, among other things, added a new location for service delivery to homeless individuals: Travel Lodge 600 West Van Buren Street, Phoenix 85003. This Amendment provided $79,305 in General Funds and the total Agreement funding shall now be increased from $295,296 to a not-to exceed amount of $374,601. The Parties fully executed Amendment No. 2 on or about August 6, 2020. This Amendment provided $96,887 in General Funds and the total Agreement funding shall now be increased from $374,601 to a not-to-exceed amount of $471,488. This Amendment added required contract language and added continuance of services on a month-to-month basis for the Travel Lodge and Sure Stay locations. The Parties fully executed Amendment No. 3 on or about September 2, 2020. This Amendment, among other things, extended the term of the Agreement from October 8, 2020, through December 31, 2020; and provided $656,292 in General Funds and the total Agreement funding shall now be increased from $471,488 to a not-to-exceed amount of $1,127,780; and amended the Agreement to provide for identifying and creating new service location or locations. The Parties fully executed Administrative Change Order No. 1 on or about October 6, 2020. Administrative Change Order No. 1 added a new service location for the period October 1, 2020, through December 31, 2020: A New Foundation, 1200 North 77th Street, Scottsdale, Arizona 85257. The Parties fully executed Amendment No. 4 on or about January 27, 2021. The Amendment extended the term of the Agreement through March 31, 2021, and increased funding by $656,292. The total Agreement funding shall now be increased from $1,127,780 to a not-to-exceed amount of $1,784,072 and provided information on submitting invoices. Funding for this Amendment is provided by Catalog of Federal Domestic Assistance (CFDA) 21.019 Coronavirus Aid, Relief, and Economic Security Act (CARES Act), Public Law 116-136. The Amendment extended the term of the Agreement through June 30, 2021, and increased funding by $656,292. The total Agreement funding shall now be increased from $1,784,072 to a not to exceed amount of $2,440,364. Funding for this Amendment is provided by (CFDA) 21.019 CARES Act funds. The Parties fully executed Amendment No. 6 on or about June 23, 2021. This Amendment extended the term of the Agreement through September 30, 2021, and increased funding by $328,146. The total Agreement funding shall now be increased from $2,440,364 to a not-to-exceed amount of $2,768,510. Funding for this Amendment is provided by CFDA 21.019 CARES Act funds. The Parties fully executed Amendment No. 7 on or about September 29, 2021. This Amendment extended the term of the Agreement through December 31, 2021, and increased funding by $328,146. The total Agreement funding shall now be increased from $2,768,510 to a not-to-exceed amount of $3,096,656. Funding for this Amendment is provided under American Rescue Plan Act (ARPA) Assistance Listing Number (ALN) 21.027. The Parties fully executed Amendment No. 8 on or about January 28, 2022. This Amendment extended the term of the Agreement through June 30, 2022, and increased funding by $530,862. The total Agreement funding shall now be increased from $3,096,659 to a not-to-exceed amount of $3,627,518. Funding for this Amendment is provided under ARPA - ALN 21.027. The Parties fully executed Amendment No. 9 on or about July 21, 2022. This Amendment extended the term of the Agreement through June 30, 2024, and increased funding by $5,073,503.78 ($2,536,751.89 annually). Funding availability is July 1, 2023, through June 30, 2024. Funding is provided under ARPA - ALN 21.027. The total Agreement funding shall now be increased from $3,627,518 to a not-to-exceed amount of $8,701,021.78. The Amendment also replaced the Scope of Work in the Agreement. The Parties fully executed Amendment No. 10 on or about March 29, 2023. The Amendment revised the funding sources for $401,264 of the $5,073,503.78 provided in Amendment No. 9, by reducing $401,264 in ARPA funds and adding the $401,264 in U.S. Department of Housing and Urban Development (HUD) Emergency Solutions Grant-CV funds under ALN 14.231. With this Amendment, the funding amounts are now changed to $5,531,247,78 ARPA and $401,264 HUD ESG-CV. The Agreement funding amount remains unchanged. This Amendment also added contract language. The Parties fully executed Amendment No. 11 on or about July 26. 2023. The Amendment revised the funding sources for $68,563 of the $401,264 provided in Amendment No. 10, by reducing $68,563 in U.S. Department of Housing and Urban Development (HUD) Emergency Solutions Grant-CV funds under ALN 14.231. The Agreement funding amount remains unchanged. The Parties fully executed Amendment No. 12 on or about October 3, 2023. Through this Amendment, the County approved a lump sum payment amount of $600,000 in ARPA funds allocated in Amendment No. 9. The Amendment also revises the funding source for $68,563 allocated though Amendment No. 11 from ARPA funds to HUD ESG-CV funds. The total Agreement funding remained unchanged. The Amendment extends the term of the Agreement from June 30, 2024, through December 30, 2024, reduces the Agreement funding amount by $70,694 in American Rescue Plan Act (ARPA) funds under ALN 21.027 to a new Agreement ARPA funding total of $5,460,553.78. The total Agreement funding amount is now reduced from $8,701,021.78 to $8,630,327.78 as approved and executed by the Parties. The Parties fully executed Amendment No. 14 on or about July 24, 2024. The Amendment revised the Work Statement to address Emergency Shelter Services sites and the closure dates. The total Agreement amount is $8,630,327.78 consisting of the following fund sources: ($147,648.00 CDBG, $147,648.00 ESG, $832,484.00 General Funds, $401,264.00 ESG-CV, $1,640,730.00 CARES Act, $5,460,553.78, ARPA). The Agreement term is through December 31, 2024. II. The Parties now agree to amend the Agreement by this Amendment No. 15 as follows: A. Reduce the Agreement funding amount by $407,924 from $8,630,327.78 to a new total amount of $8,222,403.78. With this reduction, the Agreement fund sources shall consist of the following: 1. $147,648.00 CDBG 2. $147,648.00 ESG 3. $832,484.00 General Funds 4. $401,264.00 ESG-CV 5. $1,640,730.00 CARES Act 6. $5,052,629.78 ARPA B. Revise Section 1 (General Provisions) to add the following Paragraphs: 57.0 PROVISIONS REQUIRED BY LAW Each and every provision of law and any clause required by law to be in this Agreement will be read and enforced as though it were included herein and, if through mistake or otherwise any such provision is not inserted, or is not correctly inserted, then upon the application of either party, this Agreement will promptly be physically amended to make such insertion or correction. D. Revise Section 2 (Special Provisions) in the following Paragraphs: 4.0 BUDGET ADJUSTMENTS, CHANGE ORDERS AND AMENDMENTS, Subparagraph 4.3 to remove in its entirety and replace with the following: 4.3 Administrative Change Orders- The Chairman of the Board of Supervisors is authorized, upon the recommendation of the Human Contract No. C-22-20-029-3-15 Amendment No. 15 COMMUNITY BRIDGES, INC. Page 4 of 5 Services Department Director and Legal Counsel, to review and execute administrative changes to the Agreement on behalf of the County through Administrative Change Orders. Administrative Change Orders will be effective upon execution by both the Parties. Administrative Change Orders shall address any of the following changes: 4.3.1 Modifications to the project timeline if the last day of the project timeline is within the Agreement term; 4.3.2 Modifications to Budget line items if the Agreement Amount remains unchanged; 4.3.3 Modifications required by federal, state, or County regulations, ordinances, or policies; and/or 4.3.4 Modifications to Administrative requirements such as changes in reporting periods, frequency of reports, or report formats required by federal, state, and local regulations, policies, or requirements. 8.0 ADMINISTRATIVE REQUIREMENTS, Subparagraph 8.4.2 to remove in its entirety and replace with the following: 8.4.2 UNIQUE IDENTITY IDENTIFIER AND SYSTEM FOR AWARD MANAGEMENT The Subrecipient shall have a valid Unique Entity Identifier (UEI) number and an active profile in the federal System for Award Management, or SAM.gov. Documentation of the UEI Number must be included in all project files. The Subrecipient must remain current with their registration throughout the term of the Agreement. Subrecipients and subcontractors will not receive a subaward until that entity has provided its UEI number. 2 C.F.R. § 25.300; Appendix A to 2 C.F.R. § 25. A. This Amendment shall be effective upon approval and execution by both Parties. III. Section II above contains all the changes to the Agreement made by this Amendment No. 15. All other terms and conditions of the Agreement and previously approved Amendments and Administrative Change Order No. 1 shall remain unchanged and in full force and effect as executed by the Parties. IV. The Agreement is amended to incorporate the changes contained in this Amendment No. 15 and is subject to and incorporates the provisions of A.R.S. § 38-511. All other terms and conditions of the Agreement, and all previously fully executed Amendments and Administrative Change Orders shall remain in full force and effect as approved, amended and executed by the Parties. V. The Parties have authorized the undersigned to execute this Amendment No. 15 on their behalf.
