C-22-23-125-X-01 Amendment No. 1 Town of Guadalupe Page 1 of 4 AMENDMENT NO. 1 TO THE CONTRACT BETWEEN MARICOPA COUNTY ADMINISTERED BY ITS HUMAN SERVICES DEPARTMENT AND THE TOWN OF GUADALUPE I. Maricopa County (“County”) administered by its Human Services Department and the Town of Guadalupe (“Town” or “Subrecipient”) entered into a financial agreement (“Agreement) on or about July 6, 2023. The Agreement term is June 28, 2023, through September 30, 2026. The purpose of the Agreement is to perform outreach to unhoused individuals and families, provide hygiene kits and provide support services to assist with obtaining stable housing (the “Project"). It is anticipated that 400 individuals annually will be provided services. The County provided the Subrecipient with $240,000 in American Rescue Plan Act (ARPA) funds under Assistance Listing Number (ALN) 21.027. The County and the Subrecipient may be referred to individually as “Party” or collectively as “Parties.” II. The Parties now agree to amend the Agreement as follows: A. Incorporate Federal Award Identification Number (FAIN) and Award Date into the Agreement by adding the following to Page 1: FAIN / AWARD DATE: 21.027: SLFRP0146 awarded 5/18/2021 B. Paragraph 3.0 (Term of Agreement), Subparagraph 3.1 by removing in its entirety and replacing with the following: C. Revise Paragraph 3.0 (Term of Agreement), Subparagraph 3.1 by removing in its entirety and replacing with the following: D. 3.0 TERM OF AGREEMENT 3.1 The term of this Agreement is from June 28, 2023, through June 30, 2025. E. Revise Paragraph 5.0 (Administrative Change Orders) by removing in its entirety and replacing with the following: 5.0 ADMINISTRATIVE CHANGE ORDERS 5.1 The Chairman of the Board of Supervisors is authorized, upon the recommendation of the Human Services Department Director and Legal Counsel, to review and execute administrative changes to the Agreement on behalf of the County through Administrative Change Orders. Administrative Change Orders will be effective upon execution by both the Parties. Administrative Change Orders shall address any of the following changes: C-22-23-125-X-01 Amendment No. 1 Town of Guadalupe Page 2 of 4 5.1.1 Modifications to the project timeline if the last day of the project timeline is within the Agreement term; 5.1.2 Modifications to Budget line items if the Agreement amount remains unchanged; 5.1.3 Modifications required by federal, state, or County regulations, ordinances, or policies; and/or 5.1.4 Modifications to Administrative requirements such as changes in reporting periods, frequency of reports, or report formats required by federal, state, and local regulations, policies, or requirements. F. Revise and replace Paragraph 6.0 (FUNDING, INVOICING, AND PAYMENT) in its entirety with the following: 6.0 FUNDING, INVOICING, AND PAYMENT 6.1 Funding for this Agreement shall be reduced from $240,000.00 to a not-to-exceed amount of $159,894.42. Period of funding availability is through June 30, 2025. Funding for this Agreement is ARPA Funds under Assistance Listing Number (“ALN”) 21.027 and provided to the County through the U.S. Department of Treasury. 6.2 Funding expenditures per fiscal year: 6.2.1 FY2024 $63,894.42: 6.2.1.1 $59,981.28 – Professional Expenses 6.2.1.2 $398.30 – Client Expenses 6.2.1.3 $181.52 – Materials and Supplies 6.2.1.4 $3,333.32 – Administration Cost 6.2.2 FY2025 $96,000 6.2.2.1 $80,000 – Professional Expenses 6.2.2.2 $10,000 – Client Expenses 6.2.2.3 $0 – Materials and Supplies 6.2.2.4 $6,000 – Administration Cost G. Add the following Paragraph to the Agreement: 57.0 PROVISIONS REQUIRED BY LAW C-22-23-125-X-01 Amendment No. 1 Town of Guadalupe Page 3 of 4 Each and every provision of law and any clause required by law to be in this Agreement will be read and enforced as though it were included herein and, if through mistake or otherwise any such provision is not inserted, or is not correctly inserted, then upon the application of either party, this Agreement will promptly be physically amended to make such insertion or correction. I. Revise Exhibit A-Statement of Work to address the following: 1. Under A.R.S. §38-511, the Parties may cancel this Agreement without penalty of further obligation within three years after execution of this Agreement if any person significantly involved in initiating, negotiating, securing, drafting, or creating this Agreement on behalf of the County is, at any time while this Agreement or any extension is in effect, an employee or agent of any other party to the Agreement in any capacity or consultant to any other party of this Agreement with respect to the subject matter of this Agreement. IV. The Agreement is amended to incorporate the changes contained in this Amendment No. 1. All other terms and conditions of the Agreement remain in full force and effect as approved, amended and executed by the Parties. V. The Parties have authorized the undersigned to execute this Amendment No. 1 on their behalf.
