TO THE AGREEMENT 
BETWEEN 
MARICOPA COUNTY 
ADMINISTERED BY ITS 
HUMAN SERVICES DEPARTMENT 
AND 
NATIVE AMERICAN CONNECTIONS, INC. 
 
I. 
Maricopa County (“County”), administered by its Human Services Department, and Native 
American Connections, Inc. (“Subrecipient”) entered into a financial Agreement 
(“Agreement”), which was fully executed on or about June 24, 2020. The purpose of the 
Agreement is for the provision of Emergency Shelter services for individuals experiencing 
homelessness in Maricopa County. The County provided the Subrecipient with $144,670 
Community Development Block Grant funds. The term of the Agreement is from July 1, 
2020, to June 30, 2021. The County and the Subrecipient collectively are referred to here 
as the “Parties.” 
 
The Parties fully executed Amendment No. 1 on or about July 28, 2020, which, among 
other things, provided the Subrecipient with a not-to-exceed amount of $105,201 in 
Coronavirus Aid, Relief, and Economic Security Act (CARES Act) funding to increase 
homelessness services. The funds were to be expended no later than September 30, 
2020. 
 
The Parties fully executed Amendment No. 2 on or about October 13, 2020, which 
extended the date to expend the CARES Act funding through December 30, 2020, and 
added required agreement language. 
 
The Parties fully executed Amendment No. 3 on or about November 4, 2020, which, 
among other things, provided the Subrecipient with a not-to-exceed amount of $105,201 
in CARES Act funding for the period of October 1, 2020, through December 30, 2020. 
 
The Parties fully executed Amendment No. 4 on or about December 9, 2020, which, 
among other things, provided the Subrecipient with a not-to-exceed amount of $105,201 
in CARES Act funding for the period of December 31, 2020, through March 31, 2021. 
 
The Parties fully executed Amendment No. 5 on or about March 24, 2021, which among 
other things, provided the Subrecipient with a not-to-exceed amount of $105,201 CARES 
Act funding for the period April 1, 2021, through June 30, 2021. 
 
The Parties fully executed Amendment No. 6 on or about June 9, 2021, which among 
other things, provided the Subrecipient with a not-to-exceed amount of $105,201 in 
CARES Act funding for the period of July 1, 2021, through September 30, 2021. The 
County also provided the Subrecipient with a not-to-exceed amount of $144,670 in 
Community Development Block Grant (CDBG) funding for the period of July 1, 2021, 
through June 30, 2022. The Agreement was extended from June 30, 2021, to and through 
June 30, 2022. 
 
The Parties fully executed Amendment No. 7 on or about September 15, 2021, which 
among other things, provided the Subrecipient with a not-to-exceed amount of $105,201 
in American Rescue Plan Act, Coronavirus State and Local Fiscal Recovery Funds

(CSLFRF) under CFDA number 21.027, for the period October 1, 2021, through 
December 31, 2021.  
 
The Parties fully executed Amendment No. 8 on or about January 21, 2022, which among 
other things, provided the Subrecipient with a not-to-exceed amount $221,784 in American 
Rescue Plan Act, Coronavirus State and Local Fiscal Recovery Funds (CSLFRF) under 
CFDA number 21.027, for the period January 1, 2022, through June 30, 2022. The 
Agreement was extended retroactively on January 1, 2022, through June 30, 2022. 
 
The Parties fully executed Amendment No. 9 on or about June 22, 2022, which extended 
the Agreement through June 30, 2024. The County provided the Subrecipient with 
$144,670 in U.S. Department of Housing and Urban Development (HUD) PY2022 
Community Development Block Grant (CDBG) funds with the funding availability period 
being July 1, 2022, through June 30, 2023. The County also provided the Subrecipient 
with $1,244,292 in American Rescue Plan Act (ARPA) funds, with all work performed or 
costs incurred or expensed shall be reimbursable through June 30, 2024, for The Lodge 
Work Statement Activities. The Amendment also revised the Scope of Work for services 
to individuals experiencing homelessness, modified the Reimbursement paragraph, and 
attached a revised budget.  
 
The Parties fully executed Amendment No. 10 on or about May 22, 2024, which extended 
the Agreement through December 31, 2024. The County provided the Subrecipient with 
$41,000 for The Lodge Work Statement activities in American Rescue Plan Act (ARPA) 
funds under Assistance Listing Number (ALN) 21.027. 
 
II. 
The Parties now agree to amend the Agreement by this Amendment No. 11 as follows: 
 
A. 
Reduce the Subrecipient funding for the Lodge Work Statement activities by 
$30,531. Funding is provided by American Rescue Plan Act (ARPA), Assistance 
Listing Number (ALN) 21.027.  
 
B. 
Revise Page 1 of the Agreement to update the Point of Contact for Maricopa

Revise Section 1 (General Provisions) to add the following Paragraphs: 
 
56.0 PROVISIONS REQUIRED BY LAW 
Each and every provision of law and any clause required by law to be in 
this Agreement will be read and enforced as though it were included herein 
and, if through mistake or otherwise any such provision is not inserted, or 
is not correctly inserted, then upon the application of either party, this 
Agreement will promptly be physically amended to make such insertion or 
correction.

UYGHUR FORCED LABOR PREVENTION ACT (UFLPA) 
57.1 
The Subrecipient warrants and certifies that it does not currently, 
and agrees for the duration of the agreement that it will not, use: 
57.2 
The forced labor of ethnic Uyghurs in the People’s Republic of 
China. 
57.3 
Any goods or services produced by the forced labor of ethnic 
Uyghurs in the People’s Republic of China. 
57.4 
Any contractors, subcontractors or suppliers that use the forced 
labor or any goods or services produced by the forced labor of 
ethnic Uyghurs in the People’s Republic of China. 
57.5 
If the Subrecipient becomes aware during the term of the 
Agreement that the Subrecipient is not in compliance with this 
paragraph, the Subrecipient shall notify the County within five 
business days after becoming aware of the noncompliance. Failure 
of the Subrecipient to provide a written certification that the 
Subrecipient has remedied the noncompliance within one hundred 
eighty (180) days after notifying the public entity of its 
noncompliance, this Agreement shall terminate unless the Term of 
this Agreement shall end prior to said one hundred eighty (180) day 
period. 
 
D. 
Revise Section 2 (Special Provisions) in the following Paragraphs: 
 
4.0 
BUDGET ADJUSTMENTS, CHANGE ORDERS AND AMENDMENTS, 
Subparagraph 4.3 to remove in its entirety and replace with the following: 
4.3 
Administrative Change Orders- The Chairman of the Board of 
Supervisors is authorized, upon the recommendation of the Human 
Services Department Director and Legal Counsel, to review and 
execute administrative changes to the Agreement on behalf of the 
County through Administrative Change Orders. Administrative 
Change Orders will be effective upon execution by both the Parties. 
Administrative Change Orders shall address any of the following 
changes: 
4.3.1 Modifications to the project timeline if the last day of the 
project timeline is within the Agreement term; 
4.3.2 Modifications to Budget line items if the Agreement Amount 
remains unchanged; 
4.3.3 Modifications required by federal, state, or County 
regulations, ordinances, or policies; and/or 
4.3.4 Modifications to Administrative requirements such as 
changes in reporting periods, frequency of reports, or report 
formats required by federal, state, and local regulations, 
policies, or requirements. 
 
7.0 
ADMINISTRATIVE REQUIREMENTS, Subparagraph 7.4.2 to remove in 
its entirety and replace with the following: 
7.4.2 UNIQUE IDENTITY IDENTIFIER AND SYSTEM FOR AWARD 
MANAGEMENT 
The Subrecipient shall have a valid Unique Entity Identifier (UEI) 
number and an active profile in the federal System for Award 
Management, or SAM.gov. Documentation of the UEI Number must

be included in all project files. The Subrecipient must remain current 
with their registration throughout the term of the Agreement. 
Subrecipients and subcontractors will not receive a subaward until 
that entity has provided its UEI number. 2 C.F.R. § 25.300; 
Appendix A to 2 C.F.R. § 25. 
 
E. 
Revise Section 4 (Compensation) in the following Paragraphs:

FUNDING, Subparagraph 1.1 to remove in its entirety and replace with the 
following:

The County shall provide the Subrecipient with $1,254,761 in funds 
through the American Rescue Plan Act (ARPA), Assistance Listing 
Number (ALN) 21.027. All work performed or costs incurred or 
expended shall be reimbursable through December 31, 2024, for

III. 
Section II above contains all the changes to the Agreement made by this Amendment No. 
11. All other terms and conditions of the Agreement and previously approved 
Amendments not amended by this Amendment No. 11 shall remain unchanged and in full 
force and effect as executed by the Parties. 
 
IV. 
This Amendment No. 11 is subject to and incorporates the provisions of A.R.S. § 38-511. 
The Parties have authorized the undersigned to execute this Amendment No. 11, and it 
shall be effective upon approval and signature by the Parties.
