FIRST AMENDMENT TO INTERGOVERNMENTAL AGREEMENT
FOR THE USE OF REAL PROPERTY AND IMPROVEMENTS
BY AND BETWEEN
MARICOPA COUNTY
AND
MARICOPA COUNTY SPECIAL HEALTH CARE DISTRICT
DBA VALLEYWISE HEALTH
RECITALS
A.
Maricopa County (“County”) and Maricopa County Special Health Care District dba
Valleywise Health (“District”) (collectively, the “Parties”) are Parties to that certain
Intergovernmental Agreement No. G-30228, dated April 7, 2021 (“Agreement”). The
Agreement is for the use of District owned space at 8088 W. Whitney Drive, Peoria,
Arizona.
B.
The Initial Term of the Agreement expires on April 30, 2026.
C.
The Parties now desire to enter into this First Amendment to the Agreement
(“Amendment”) to amend the Agreement to extend the term; state the monthly Use Fee;
allow for execution in counter parts; and revise notice contact information.
AGREEMENT
NOW THEREFORE, in consideration of the foregoing and other good and valuable
consideration, receipt and sufficiency of which are hereby acknowledged, District and
County agree as follows:
1.
The Recitals, by this reference, are hereby incorporated into this Amendment.
2.
Capitalized terms used in this Amendment without definition shall have the meanings
assigned to such terms in the Agreement unless the context expressly requires otherwise.
3.
Section 1 of the Agreement is hereby deleted in its entirety and replaced with the following:

Invoices to Maricopa County shall be in writing and sent by email to:
wic@maricopa.gov

Section 3 of the Agreement – Lease Term – is hereby amended to extend the Initial Term
eight (8) full calendar months for a total of sixty-eight (68) full calendar months, which
Initial Term commenced on April 12, 2021 and expires on December 31, 2026. This
Agreement is subject to cancellation pursuant to the provisions of A.R.S. 38-511.

Section 6 of the Agreement – Use Fee – is hereby deleted in its entirety and replaced with
the following:

USE FEE: Within thirty (30) days of receipt of invoice, Maricopa County shall pay
to District as a full-service facility monthly Use Fee (the “Use Fee”), in accordance with
the schedule set forth below, the sum as follows:

The Use Fee for any partial months shall be prorated on a daily basis based on a thirty (30)
day month.
It is the intention of the Parties that this shall be a “gross lease”, and Maricopa County shall
not be responsible to contribute to any Common Area maintenance charges incurred by the
District for operating and maintaining the Premises, Building and Common Areas of the
Development (including insurance, Taxes and utilities, except for electricity for the
Premises, which shall be paid by Maricopa County directly to the utility company as
provided in the Agreement.)

The effective date of this Amendment is the date of approval by Maricopa County.
7.
Section 34(a) of the Agreement shall be deleted in its entirety and replaced with the
following:
(a) This IGA may be executed in two or more counterparts, each of which shall be
deemed and original but all of which together shall constitute one and the same
instrument. Electronic signatures shall have the same force and effect as original
signatures.
8.
The foregoing paragraphs contain all the changes made by this Amendment. All other
terms and conditions of the Agreement and amendments remain the same and in full force
and effect.
