County and City are parties to that certain Intergovernmental Agreement (Agreement) dated March 14, 1967 and recorded at Docket No. 6485, Page Nos. 511-515 of the public records of Maricopa County as amended by that certain Amendment to Intergovernmental Agreement dated April 3, 1989 and recorded at Document No. 89-163156 of the public records of Maricopa County, Arizona which Agreement provides for construction, maintenance and joint use of a government office complex in the City of Tolleson. 8. Among other provisions, the Agreement grants to the City the right to occupy the entire complex after a period of ten years from the commencement date of the Agreement, upon having given a required notice of intent to terminate County's occupancy, and upon having paid to the County the appraised value of its property interest. C. City now desires to exercise its option to terminate County's right of possession of the premises. D. County acknowledges that the premises are no longer in use by County and that County is agreeable to the termination of the Agreement and the installment sale provisions of this 2nd Amendment. NOW, THEREFORE, in consideration of the foregoing and other good and valuable consideration, the City and County agree:to further amend the Agreement as follows: SS F 36 EXHIBIT "C" Docusign Envelope ID: FEF398B3-6E4F-4597-B2D3-C9FE32C17D44 ,. By this Amendment, County acknowledges receipt of notice from City, and County agrees to surrender possession of the premises effective June 30, 1996. 2. County agrees to permit City to assume possession of the premises as of July 1, 1996. Said possession will be in accordance with the use, damage and indemnity provisions of the Agreement and will be in expectation of and contingent upon finalizing the termination of Maricopa County's interest by appropriate payment by the City to County and execution of a Quit Claim Deed by County to City after final payment has been made on July 1, 1998. City agrees to indemnify County against all liability or damages that might arise from City's use of the premises and City agrees to assume all costs for operations and utilities during this period. 4. Pursuant to the Agreement, City agrees to pay to County the appraised value of county's interest in the premises, minus agreed upon costs of upgrades to the premises, and County agrees to execute a quit Claim Deed in favor of the City for all of County's interest in the premises upon final payment. City and County agree that the adjusted value of County's interest is $88,655.00. City agrees to pay to County, three annual payments of $29,550 each, on the first day of July, commencing July 1, 1996 for a three year total of $88,655.00. If City. fails to pay to County the amount due before the first day of August of any year prior to payment of full amount owed, City agrees to peaceable vacate the premises or agrees to pay to County fair market rent as indicated by the appraised value. 5. Except as stated herein the Agreement as previously amended is unchanged by this Second Amendment. This Second Amendment and the Agreement as previously amended constitute the entire agreement between the parties with respect to the premises which are the subject of the Agreement. 6. To the extent that any provisions of this Second Amendment conflict with provisions of the Agreement or the First Amendment, this Second Amendment will control. 7. This Agreement is subject to termination pursuant to the provisions of A.RS. 38-511. IN WITNESS WHEREOF, City and County have executed this Second Amendment as of the date first entered above.
