AMENDMENT NO. 6 TO THE  
CONTRACT 
BETWEEN 
MARICOPA COUNTY  
ADMINISTERED BY ITS HUMAN SERVICES  
DEPARTMENT  
AND 
SOLARI, INC. 
 
I. 
Maricopa County (“County”) administered by its Human Services Department and 
Solari Inc. (Solari) a community based non-profit organization (“Subrecipient”) 
entered into a financial agreement (“Agreement) on or about August 17, 2021. The 
Agreement term is July 1, 2021, through June 30, 2022. The purpose of the 
Agreement is to assist the County in providing services to those who have been 
disproportionately impacted by the pandemic through an expansion of 211 services 
including but not limited to transportation services, housing crisis hotline, and 
assistance to those facing eviction. The County provided Solari with $25,000 in 
American Rescue Plan Act (ARPA) funds under Assistance Listing Number (ALN) 
21.027 for these services. The County and the Subrecipient may be referred to 
individually as “Party” or collectively as “Parties.”  
 
The Parties executed Amendment No. 1 on or about October 4, 2021. The purpose 
of the Amendment was to extend the term of the Agreement from June 30, 2022, 
through December 31, 2022. The County provided an additional $25,000 in ARPA 
funds for the Subrecipient to conduct additional customer service calls to landlords 
on behalf of tenants in the process of receiving rental and/or utility assistance to 
prevent evictions. 
 
The Parties executed Amendment No. 2 on or about March 15, 2022. The Agreement 
term was extended through December 31, 2022. ARPA Funding for the Agreement 
was in the amount of $2,987,030 for the following activities: $1,285,970 for 
Emergency Rental Assistance Navigation Support; $1,267,566 for the Housing Crisis 
Hotline; and $383,494 for the Transportation Navigation and Assistance Services.  
Amendment No. 2 also revised the Purpose of the Agreement and the 
Responsibilities for the Parties.  
 
The Parties executed Amendment No. 3 on or about September 7, 2022. ARPA 
funding for the Agreement was increased in the amount of $1,651,060. $75,000 in 
U.S. Department of Housing and Urban Development (HUD) Emergency Solutions 
Grant - Emergency Solutions Grant Cares Act (ESG-CV) under ALN 14.231 was 
added to the Agreement. Amendment No. 3 revised the Contractor’s title of 
responsibilities to Subrecipient, and the Amendment included Subrecipient 
requirements to include Financial Management, Monitoring, and Audit language.  
 
The Parties executed Amendment No. 4 on or about December 7, 2022. The purpose 
of the Amendment was to extend the term of the Agreement from December 31, 2022, 
through June 30, 2023, and to add required contract language.  
 
The Parties executed Amendment No. 5 on or about September 27, 2023.The term 
of the Agreement was extended through June 30, 2024. ARPA funding in the 
Agreement was increased in the amount of $3,169,179. Paragraph 2.0 (Purpose)

was removed and replaced in its entirety. 
Paragraph 3.0 (Contractor 
Responsibilities), Subparagraphs 3.1 and 3.2 were revised and replaced in their 
entirety. Section 10.0 (Funding, Invoicing, and Payment), Subparagraph 10.2 was 
revised and replaced in its entirety. 
 
II. 
The Parties now agree to amend the Agreement as follows: 
 
A. 
Extend the Agreement term from June 30, 2024, through June 30, 2025. 
 
B. 
The County shall provide Solari with an increase of $704,475 in ARPA funds 
revising the Agreement total amount to $8,586,744. The Agreement total 
funding under ARPA ALN 21.027 is $8,511,744, and total funding under ESG-
CV ALN 14.231 is $75,000. 
 
C. 
Revise Paragraph 5.0 (Term), by removing in its entirety and replacing with 
the following:

The Agreement shall be effective on the date listed on Page 1 of this 
Agreement, and it will expire on June 30, 2025. 
 
D. 
Revise Paragraph 6.0 (Agreement Renewal), by removing in its entirety and 
replacing with the following:

AGREEMENT RENEWAL 
The Agreement may be renewed by a written amendment provided 
that Subrecipient is in full compliance with all terms and conditions of 
this Agreement. 
 
E. 
Revise Paragraph 10.0 (Funding, Invoicing, and Payment), by removing in its 
entirety and replacing with the following: 
 
10.0  FUNDING, INVOICING, AND PAYMENT 
10.1 The funding of this Agreement is through the American Rescue 
Plan Act (ARPA) funds under Assistance Listing Number (ALN) 
21.027 and ESG-CV ALN 14. 231. 
10.2 The Agreement total funding amount is $704,475 for the period 
of funding availability from July 1, 2024, through June 30, 2025. as 
detailed in Attachment A: Solari Contract Operating Budget. 
 
F. 
Revise Paragraph 15.0 (Notices) by updating the County contact with the 
following:

G. 
Add the following Paragraph to the Agreement: 
 
52.0  PROVISIONS REQUIRED BY LAW 
Each and every provision of law and any clause required by law to be 
in this Agreement will be read and enforced as though it were included 
herein and, if through mistake or otherwise any such provision is not 
inserted, or is not correctly inserted, then upon the application of either 
party, this Agreement will promptly be physically amended to make 
such insertion or correction. 
 
III. 
Under A.R.S. §38-511, the Parties may cancel this Agreement without penalty of 
further obligation within three years after execution of this Agreement if any person 
significantly involved in initiating, negotiating, securing, drafting, or creating this 
Agreement on behalf of the County is, at any time while this Agreement or any 
extension is in effect, an employee or agent of any other party to the Agreement in 
any capacity or consultant to any other party of this Agreement with respect to the 
subject matter of this Agreement. 
 
IV. 
The Agreement is amended to incorporate the changes contained in this Amendment No. 
6. All other terms and conditions of the Agreement remain in full force and effect as 
approved, amended and executed by the Parties. 
 
V. 
The Parties have authorized the undersigned to execute this Amendment No. 6 on their 
behalf.
