The GRANTOR, having executed a conveyance of certain real property rights to the GRANTEE as
described in the Exhibit(s) attached hereto and made a part hereof, Agent is directed to deliver said
conveyance to THE CITY OF MESA, an Arizona municipal corporation, title to said property to be
transferred upon execution of the Special Warranty Deed by the BOARD OF DIRECTORS OF THE
FLOOD CONTROL DISTRICT OF MARICOPA COUNTY and its recordation with the Maricopa
County Recorder’s office.

The CITY OF MESA provided, at their own cost, an appraisal report created by Appraisal
Technology, LLC with a final opinion of market value of $5,000.00. The purchase price and the

balance thereof shall be paid in accordance with the terms herein.

The CITY OF MESA has waived escrow and title insurance. Upon such waiver, the references to
Title Company, Escrow Agent and title insurance herein are not applicable.

No element of this transaction will be handled through a title company. The deed will not be recorded
by the FLOOD CONTROL DISTRICT OF MARICOPA COUNTY until receipt of payment from

the Grantee to the Grantor for the total purchase price referenced herein.

It is understood and agreed the consideration expressed herein is accepted by the Grantor as full and
complete compensation for the interest being acquired.

This Agreement is subject to cancelation pursuant to A.R.S. § 38-511.
