C-22-22-158-X-02 Amendment No.2 Arizona Food Bank Network Page 1 of 3 AMENDMENT NO. 2 TO THE CONTRACT BETWEEN MARICOPA COUNTY ADMINISTERED BY ITS HUMAN SERVICES DEPARTMENT AND ARIZONA FOOD BANK NETWORK I. Maricopa County (“County”) administered by its Human Services Department and the Arizona Food Bank Network (“Contractor”) fully executed a financial contract on or about August 4, 2021. The County provided the Contractor with $3,000,000 in American Rescue Plan Act (“ARPA”), Coronavirus State and Local Fiscal Recovery Funds under the Assistance Listing Number 21.027. The purpose of the Agreement is for the Contractor to administer a grant assistance program for Food Banks serving Maricopa County residents. The Agreement term is August 1, 2021, through June 30, 2023. The County and the Contractor are referred to as the “Parties” or individually as the “Party.” The Parties entered into Amendment No.1 on or about June 12, 2023. The purpose of the Amendment extended the term of the Contract from August 1, 2021, though June 30, 2024. Amendment No. 1 revises Section 3 (Contractor Responsibilities) subparagraphs 3.2, and 3.15. Section 6 (Agreement Renewal) in the Contract is replaced in its entirety. The Amendment also added required language specific to the Uyghur Forced Labor Prevention Act and Force Majeure. II. The Parties agree to enter into this Amendment No. 2 to amend the Contract as follows: A. The County shall provide the Contractor with $500,000 for the remaining term through June 30, 2024. Funding is provided under ARPA ALN 21.207. B. Revise Section 3.0 (Contractor Responsibilities), in the following subparagraphs: 3.2 Remove in its entirety and replacing with the following: The Contractor shall use no greater than $475,000 to provide operational grants to distribute shelf stable food, fresh food, federal commodities, grocery donations, and fresh produce to both food insecure populations and agencies critical to serving food insecure populations across the County. Add a new subparagraph: 3.3 The Contractor shall use no greater than $25,000 for administrative services associated with grant management. III. Under A.R.S. §38-511, the County may cancel this Agreement without penalty of further obligation within three years after execution of this Agreement if any person significantly involved in initiating, negotiating, securing, drafting, or creating this Agreement on behalf of the County is, at any time while this Agreement or any extension is in effect, an employee or agent of any other party to the Agreement in any capacity or consultant to any other party of this Agreement with respect to the subject matter of this Agreement. Each and every provision of law and any clause required by law to be in this Agreement will be read and enforced as though it were included herein and, if through mistake or otherwise any such provision is not inserted, or is not correctly inserted, then upon the application of either party, this Agreement will promptly be physically amended to make such insertion or correction. V. The above contains all the changes to the Agreement made by this Amendment No. 2. All other terms and conditions of the Agreement shall remain unchanged and in full force and effect as executed by the Parties. VI. The Parties have authorized the undersigned to execute this Amendment No. 2, and it shall be effective upon approval and signature by both Parties.
