Exhibitor agrees that no promises of any kind not set forth herein shall bind or in any way affect the obligations of the parties to this Application. This Application shall be non-assignable and non-cancelable by Exhibitor upon acceptance by the City of Peoria. This indemnity includes any claim or amount arising out of, recovered under the Workers ’ Compensation Law, or arising out of the failure of such exhibitor to conform to any federal, state or local law, statute, ordinance, rule, regulation or court decree. It is the specific intention of the parties that the Indemnities shall, in all instances, except for Claims arising solely from the negligent or willful acts or omissions of the Indemnitee, be indemnified by Vendor from and against any and all claims. It is agreed that Exhibitor will be responsible for primary loss investigation, defense and judgment costs where this indemnification is applicable. In consideration of the award of exhibiting rights, the Exhibitor agrees to waive all rights of subrogation against the City, its officers, officials, agents and employees for losses arising from the vending performed by the Exhibitor at any City of Peoria events. Exhibitor has read, understands and agrees to comply with all event regulations. Exhibitor understands failure to abide these rules could result in the probation and/or exclusion from all City of Peoria produced events.
