This Intergovernmental Agreement ("Agreement") is entered into by and between the Arizona Board of Regents for 
and on behalf of the University of Arizona ("U of A") and Maricopa County ("County"). The County and the U of A are 
collectively referred to as the "Parties" and individually as a "Party." The County, for and in consideration of the 
covenants and conditions set forth, shall use the funds from the U of A as set forth below. All rights and obligations of 
the Parties shall be governed by the terms of this Agreement, its exhibits, attachments, and appendices, including any 
subcontracts or amendments, and in:

This Agreement contains all the terms and conditions agreed to by the Parties. No other understanding, oral or 
otheiwise, regarding the subject matter of this Agreement shall be deemed to exist or to bind the Parties. Nothing in 
this Agreement shall be construed as consent to any lawsuit or waiver of any defense in a lawsuit brought against the 
U of A or County in any state or federal Court.
