56. DEVELOPER AGREEMENT WITH GUADALUPE COMMUNITY DEVELOPMENT CORPORATION Approve a financial Developer Agreement (Agreement) between Guadalupe Community Development Corporation (Developer), a Community Housing Development Organization and Maricopa County administered by its Human Services Department. The purpose of the Agreement is for the Developer to acquire and construct a new single-family home on the current vacant lot at 5332 East Calle Encinas, Guadalupe, Arizona, or another suitable site. The project will create a homeownership opportunity for a low-income household. The home buyer must qualify as low-income and maintain the housing as the principal residence throughout the period of affordability, which shall be a period of fifteen (15) years. The County shall provide the Developer with a HOME Investment Partnerships Grant (HOME) funds in the amount not-to-exceed $260,000 The Agreement term begins on November 18, 2020 and will expire August 31, 2024. Also request authorization for the Human Services Department Director to approve and execute Administrative Change Orders as identified in Section 2 (Special Provisions), Paragraph 18.0 (General Conditions). The Human Services Department Director may make changes within the general scope of the Agreement on behalf of the County through Administrative Change Orders. Administrative Change Orders shall be approved and fully executed by the Human Services Department Director and the Executive Director of the Developer. This Agreement is funded by grants from the U. S. Department of Housing and Urban Development (HUD). Funding is included in the FY2021 budget and does not impact the General Fund. FY 2021: $260,000 Expenditures. The purpose of the Agreement is for the Developer to acquire and construct a new single-family home, to create a homeownership opportunity for a low-income household in Guadalupe. The Developer and the County shall be referred to as the “Parties.” The purpose of the Amendment is to address the following: A. Revise Section 1 (General Provisions) to address the following Paragraph: 1. Paragraph 35.0 (INSURANCE) to address the Insurance process. 2. Paragraph 38.0 (NONDISCRIMINATION) to address the Nondiscrimination, Equal Opportunity, and Equal Access process. 3. Paragraph 46.0 (PROPERTY) to address the Property process. 4. Paragraph 49.0 (EMPLOYMENT DISCLAIMER) to address the Employment Disclaimer process. 5. Paragraph 50.0 (CERTIFICATION REGARDING DEBARMENT, SUSPENSION, INELIGIBILITY AND VOLUNTARY EXCLUSION) to address the Debarment process. 6. Paragraph 51.0 (CONTRACTOR EMPLOYEE WHISTLEBLOWER RIGHTS AND REQUIREMENT TO INFORM EMPLOYEES OF WHISTLEBLOWER RIGHTS) to address the Whistleblower process. B. Revise the Work Statement in the Original Agreement, Paragraph 2.0 (SCOPE OF WORK) by deleting Subparagraph 2.1 and replace with a new project description. The newly constructed home will be a 3- or 4- bedroom, 1 and 3/4 bath, 2-car garage, and have a total living space of approximately 1,500 square feet, located at 8234 S Calle Batoua , Guadalupe, Arizona 85283. The project will create a homeownership for a low-income household and foster a healthy living environment. 2. Revise the Work Statement in the Original Agreement, Paragraph 5.0 (PERFORMANCE REPORTING GOALS/TIMELINE OF ACTIVITIES) to remove and replace with a revised Performance Reporting Goals/Timeline of Activities. The Agreement is amended to incorporate the changes contained in this Amendment No. 2. All other terms and conditions of the Agreement and previously approved Amendments shall remain unchanged and in full force and effect as executed by the Parties. The County has provided the Developer with U.S. Department of Housing and Urban Development (HUD) HOME Investment Partnerships Program (HOME) funds under ALN 14.239 in the amount of $1,303,595.97, and American Rescue Plan Act (ARPA) – State & Local Fiscal Recovery Funds (SLFRF) under ALN 21.027 in the amount of $1,040,000, for total Agreement funding of $2,343,595.97 for the Work Statement activities. The term of the Agreement is November 18, 2020, through December 31, 2026. The purpose of this Amendment No. 6 is to address the following: A. Revise Section 2 (Special Provisions), Paragraph 14 (Subcontracts and Vendors), Subparagraph 14.2 by replacing it in its entirety. B. Revise Section 3 (Work Statement) by replacing Program Year 2022 and 2023 Work Statements with a new combined Work Statement referred to as ““HOME Investment Partnerships Program PY 2022, PY 2023 & American Rescue Plan Act 2021 – State & Local Fiscal Recovery Funds”. The combined total funding amount of the new Work Statement is $1,833,595.97 ($1,040,000 in ARPA funds under ALN 21.027 and $793,595.97 in HUD HOME funds under ALN 14.239). All work performed or costs incurred shall be reimbursable through September 30, 2025. C. Revise Section 3 (Work Statement) by adding an additional Work Statement referred to as “HOME Investment Partnerships Program Year 2024 Work Statement”. The County shall provide the Town with $300,000 for the Work Statement activities in PY24 HOME Investment Partnership Program (HOME) funds under ALN 14.239, provided to the County through the US. Department of Housing and Urban Development (HUD). All work performed or costs incurred shall be reimbursable through September 30, 2027. D. County funding shall be increased from $2,343,595.97, by $300,000, for a new Agreement total of $2,643,595.97 The Agreement is amended to incorporate the changes contained in this Amendment No. 6. The term of the Agreement is November 18, 2020, through December 31, 2026. The above-named Agreement is amended as follows in attached Amendment No. 7 to the Agreement: A.
