1. CANCEL PRECINCT COMMITTEEMEN ELECTIONS Pursuant to A.R.S. §16-822(B), cancel the elections for the list on file with the Clerk of the Board of precinct committeemen positions in which the number of persons who have filed nominating petitions is less or equal to the number of precinct committeemen positions and appoint the person who filed the nominating petition to the position. A precinct committeemen who is appointed pursuant to A.R.S. §16-822(B) after filing a nominating petition shall be deemed an elected precinct committeemen. (C-21-10-006-M-00)

2. TERMINATION OF PURCHASE AND SALE AGREEMENT WITH BCRP GRACE COURT, LLC. Authorize termination of the Purchase and Sale Agreement, approved April 21, 2010 (C-18-10-048-3-00), with BCRP Grace Court, LLC., a Delaware limited liability company (Seller) for the purchase of Grace Court l, Grace Court lll and the rights to 377 parking spaces at the Grace Court Project at 7th Avenue and Adams in Phoenix, pursuant to section 8 (a) of the Purchase and Sale Agreement, and authorize the Chairman of the Board to execute the necessary documents, approved by legal counsel, to terminate the Purchase and Sale Agreement. Pursuant to section 8 (a) of the Purchase and Sale Agreement with BCRP Grace Court, LLC., a Delaware limited liability company (Seller) approved on April 21, 2010 (C-18-10-048-3-00), the County may terminate this agreement within 60 days(Contingency Period) from the opening of escrow. All earnest money will be returned to the County. This action will authorize the termination the Purchase and Sale Agreement and will authorize the Chairman to execute the necessary documents, approved by legal counsel, to terminate the Purchase and Sale Agreement. CONFLICT OF WAIVER WITH KELHOFFER MANOLIO & FIRESTONE Approve a request for a limited waiver of conflict of interest with the law firm of Kelhoffer Manolio & Firestone for the specific purpose of filing condemnation matters on behalf of the Maricopa County Flood Control District. The waiver does not involve, and this waiver does not extend to, any dispute or litigation that is adverse to Maricopa County arising out of these condemnation matters. 4. CONFLICT WAIVER WITH POLI & BALL Approve a request for a limited waiver of conflict of interest with the law firm of Poli & Ball for the specific purpose of representing Selden Properties, owner of real estate under consideration for purchase. This waiver does not involve, and does not extend to, any dispute or litigation that is adverse to Maricopa County arising out of this matter. 5. COMPLIANCE OF PLANNING & DEVELOPMENT AND AIR QUALITY VIOLATIONS Approve all necessary enforcement actions, administrative or court orders, to obtain compliance of planning and development and air quality violations, of cement batch plant and other unauthorized structures on the Shumway property, including but not limited to parcels 105-69-009G and 105-69-009H.
