21. IGA WITH THE CITY OF PEORIA FOR THE EXCHANGE OF SERVICES (ENTENTE) Approve the Intergovernmental Agreement (IGA) between Maricopa County (County) and the City of Peoria (City) for the exchange of services (Entente). This Agreement shall become effective as of the date it is approved by the Maricopa County Board of Supervisors and remain in full force and effect for five (5) years. Any Party may terminate this Agreement upon furnishing the other Party with a written notice at least thirty (30) days prior to the effective termination date. Approval of this agenda item would renew the Entente Agreement with the City of Peoria. The purpose of the Entente Agreement is to address regularly scheduled or emergency maintenance projects of mutual benefit in both jurisdictions. The parties desire to implement a cooperative highway maintenance program whereby routine or emergency highway maintenance will be performed more efficiently (the Entente Program). The Entente Program is designed to look beyond geographical or jurisdictional boundaries and instead focus on the task at hand and availability of resources. The maximum dollar amount that may be exchanged under the Entente Program, per fiscal year, is $200,000. For each project that the Entente Agreement addresses, the County Transportation Director and City Manager shall enter into a Letter of Agreement (LOA) to memorialize the collaboration. If no services are exchanged, there is no financial impact. An accounting mechanism will be utilized to track each LOA, as applicable, to identify specific tasks and services and to ensure the exchange of these services are of similar value. This agreement is necessary because it provides a means of completing routine or emergency highway maintenance more efficiently and cost-effectively for the County and the City. 22. IGA WITH THE CITY OF GLENDALE FOR CONSTRUCTION INSPECTION SERVICES FOR NORTHERN PARKWAY FROM SARIVAL AVENUE TO DYSART ROAD Approve Intergovernmental Agreement (Agreement) between Maricopa County (County) and the City of Glendale (City) for construction inspection services for Northern Parkway from Sarival Avenue to Dysart Road (Project). Any County staff costs and other necessary expenses will be considered as either reimbursable costs or as local matching funds. The City is also contributing local matching funds for the Project. The Project is in the Transportation Department (640) Transportation Capital Projects Fund (234) MAG Arterial Life Cycle Program project bin (ALCP), Sub-Project T195. On December 26, 2008, the Maricopa County Board of Supervisors approved an intergovernmental agreement (C-91-09-081-M-00 IGA) between the County and the cities of El Mirage, Glendale, and Peoria for improvements to Northern Parkway from State Route 303 to U.S. 60. That intergovernmental agreement classified the responsibilities of the parties to that agreement for cost sharing, design, construction, construction management, rights-of-way acquisition, utility relocation, and maintenance of the overall Northern Parkway project (from Sarival Avenue to Grand Avenue). On May 16, 2011, the Maricopa County Board of Supervisors approved an intergovernmental agreement (C-91-09-081-M-00, 2011 IGA) between the County and the City of Glendale for ownership, operation, and maintenance of Northern Parkway from Sarival Avenue to Dysart Road. Among other things, the 2011 IGA identified and defined the responsibilities of the parties to that agreement for the ownership, operation, and maintenance of the Project. Specifically, that the City would accept ownership of the Project right-of-way upon completion of the Project and transfer of land rights. The purpose of this Project is, in accordance with the County’s previously established lead role related to inspection and the City’s previously established responsibility to ultimately accept ownership of the Project right-of-way, to provide additional inspection services for the Project by the City. Recognizing that the City will ultimately accept ownership of the Project right-of-way, the County and the City consider it appropriate for the City to participate in inspections as described in this Agreement. The amount of the agreement is $24,962,731, and will be adjusted annually by MAG for inflation. The purposes of this action are: 1) to approve the Revenue Agreement for regional reimbursements of federal-aid highway funding associated with the design, right-of-way acquisition and construction costs of roadway improvements; and 2) authorize the acceptance and expenditure of the grant funds (federal-aid highway funding reimbursements), including any monies in excess of the currently estimated amount of $24,962,731 if adjusted by MAG for inflation. This Revenue Agreement is effective from the MAG approval date until completion of reimbursements. The County’s FY 2012-13 indirect cost rate is 6.9%. All costs under this agreement are for capital expenditures which are not subject to indirect cost recovery. Grant revenues are not local revenues for the purpose of the constitutional expenditure limitation, and therefore, expenditure of the funds is not prohibited by the budget law. The approval of this requested action does not alter the budget constraining the expenditures of local revenues duly adopted by the Board pursuant to A.R.S. Section 42-17105. In November 2003, the Maricopa Association of Governments (MAG) approved a Regional Transportation Plan (RTP) consisting of highway and public transit projects, among other projects. Some of the projects are funded through a transportation excise tax, approved by the Maricopa County voters in November 2004. Other projects are funded with federal-aid highway funding, based on their eligibility. MAG is required by law to adopt a program that provides for life cycle management of the funding and programming of the Arterial Life Cycle Program (ALCP), as part of the RTP. MCDOT Sub-Project T347, Northern Parkway from Dysart Road to 111th Avenue including the Agua Fria Bridge, is included in the MAG RTP ALCP (ALCP)and is eligible for regional funding (federal-aid highway funding) on a reimbursable basis. Under the approved September 2012 ALCP update, $24,962,731, to be adjusted annually by MAG for inflation, is available for reimbursement of design, right-of-way acquisition and construction costs between Fiscal Years 2013 through 2018. In the event of the availability of ALCP closeout funds, some of the reimbursement funding could be received earlier than anticipated. The construction of this Project is budgeted for FY2017 and FY2018; however, a combination of any available ALCP closeout funds and anticipated federal advance construction authorizations could advance construction. As the lead agency, the County has submitted the required MAG Project Overview and must also submit an approved Revenue Agreement to MAG for execution. Without this agreement, the County cannot become authorized to receive the ALCP reimbursement funding. Reimbursements will be sent to the County as part of the ALCP. Under IGA FCD 2012A002, the District authorized, and the County designated, the Chief Engineer and General Manager of the District to provide oversight of WRR and act as the Director/Appointing Authority for WRR. The County authorized WRR to request District services for WRR as needed, such services being at the County’s cost, and the District authorized such services to be provided based on consideration of District work priorities and subject to the availability of District resources. County restructuring has negated the need for the District’s Chief Engineer and General Manager to oversee WRR, and the District and the County have agreed to terminate IGA FCD 2012A002. Under the terms of this action, the Parties mutually agree to waive the IGA FCD 2012A002 requirement for 30-days written notice prior to termination, and agree that WRR will reimburse the District per the terms of IGA FCD 2012A002 through the effective date of this action. Per the terms of IGA FCD 2012A002, the IGA’s indemnification provisions will survive termination. This Agenda Item impacts all Supervisorial Districts. (C-67-12-007-3-01)

F-1. TERMINATION OF IGA FOR WASTE RESOURCES & RECYCLING DEPARTMENT SUPPORT Terminate Intergovernmental Agreement (IGA) FCD 2012A002. IGA FCD 2012A002 designated Director status for the Waste Resources and Recycling Department (WRR) to the Chief Engineer and General Manager of the Flood Control District (District), and formalized procedures for the District to provide services to WRR at the County’s cost. This action shall become effective as of the date it has been executed by both Parties. (C-69-12-071-3-01)

F-3. CONTRACT WITH STANTEC CONSULTING SERVICES, INC. FOR LOWER GILA RIVER FLOODPLAIN DELINEATION STUDY: AIRPORT ROAD TO PAINTED ROCK DAM POOL AREA Award Contract FCD 2012C017, Lower Gila River Floodplain Delineation Study: Airport Road to Painted Rock Dam Pool Area to Stantec Consulting Services, Inc. for professional engineering services. This contract amount is $612,535.54. The contract performance is 900 calendar days effective the date of the Notice to Proceed. This is a qualification-based selection in accordance with Maricopa County Procurement Code, Article 5, Paragraph 504. This reach of the Gila River is in the southwestern portion of Maricopa County. It includes area within the towns of Buckeye and Gila Bend and Unincorporated Maricopa County. There is an effective FEMA floodplain for this reach of the Gila River. The effective floodplain was delineated under three separate studies: by Cella Barr and Associates in 1990 from the Painted Rock Dam Pool Area to Gillespie Dam; by Dames and Moore in 1988 from Gillespie Dam to approximately 1.5 miles west of the State Route 85 Bridge; and, by Michael Baker Jr., Inc. in 1999 from 1.5 miles west of the State Route 85 Bridge to beyond the upstream limit of study at Airport Road. This re-delineation is being performed to reflect decreased 100-year peak flow rates in the river due to the raising of Roosevelt Dam (with dedicated flood storage) in the mid-1990s, more current and detailed topographic mapping, and improved hydraulic modeling methodology. Of the three studies reflecting the effective floodplain, only the Baker study reflects the lowered flow rates from the post-modified Roosevelt Dam. This agenda item impacts Supervisorial Districts 4 and 5. (C-69-13-011-5-00)
